Lawyer for regulatory matters affecting Railroad economics, operations, safety, and security. Counsels and implements strategy for UP and industry. Prepares submissions and otherwise participates in rule making. Interprets regulation and obtains regulatory permission to act. Defends company in government investigations and represents company in enforcement proceedings. Advises lawyers handling other substantive matters on the implications of regulation. Provides expertise regarding passenger service, joint facilities and shortlines. Mediates, arbitrates and litigates disputes under STB, and federal and state court jurisdiction. Handles other complex, operationally critical matters at request of VP Law or General Counsel.

This position reports directly to the Vice President Law & Chief Compliance Officer. The position will be filled as a General Attorney / Sr General Attorney (C band) or Sr Counsel (D band) depending on experience. This position is located at Union Pacific headquarters in Omaha, Nebraska.

Accountabilities:
Regulation/public policy: Leads clients, industry, and interested parties in formulating policy. Evaluates the impact of proposed regulation, rulemakings, legislation and other political initiatives on Company. Lobbies and educates legislators, regulators, and other policy/opinion leaders. Drafts proposed language for regulation/legislation. Drafts and prepare client witnesses for rule making proceedings. Represents UP in administrative proceedings for permission to act. Represents UP in government investigations and enforcement proceedings.

Oversees routine legal matters for quality assurance and efficiency. Designs processes and tools to increase efficiency and quality of routine legal services.

Trains, mentors and manages legal staff and paralegals.

Manages legal consultants and outside counsel and related budgets.

Educates clients and provides tools (e.g. standard forms, FAQs) to streamline routine matters. Assists clients with design and implementation of processes and tools to reduce variability and improve efficiency.

Counsels clients on strategic planning, preventative law, risk mitigation, policy advice and interpretation, business planning, opportunities to advance corporate goals, interpretation of legal rights and obligations, leverage points and constraints.

Represents company in disputes with third parties arising out of UP's core transportation business. Establishes strategy, analyzes position and prepares or manages outside counsel in case preparation and presentation (administrative and judicial proceedings).

Negotiates and documents complex, unique and precedent-setting transactions. Deals with management and counsel for other parties to the transaction as either the Company's principal representative or part of the negotiating team.

Ensures company policy and standards comply with legal requirements.

Handles matters with significant strategic/operational/revenue impacts at request of General Counsel.

Leads projects involving complex cross-functional initiatives.

Required Education, Training, Experience or Skills:
A Juris Doctorate degree

A Bachelor Degree

Licensed to practice law in the state of the work location or Member in one or more state bar associations.

Preferred Education, Training, Experience or Skills:
10 year(s) experience / knowledge of the following laws Expertise in substantive areas of the law such as STB, FRA, OSHA, antitrust, labor, real estate, environment, regulatory and contract .

10 year(s) experience / knowledge of the following legal areas Experience with legislative and regulatory processes. STB Experience and expertise. Knowledge of FRA, OSHA and other regulations that govern Railroad operations and economics. Expertise in signiticant transactions.
