Position Summary:
Associate General Counsel will be primarily responsible for reviewing, negotiating, and drafting a broad array of international technology transactional and other commercial contracts, and for closing deals. You will also advise internal clients on contract interpretation and assist with various other legal tasks and projects.
Key Duties & Responsibilities:
Review, negotiate and draft various types of technology-related agreements on behalf of the company and its international subsidiaries (currently India, Mexico, United Kingdom, Canada, and Italy), including client services agreements, merchant agreements, master services agreements, NDAs, data processor/controller agreements, etc.
Will act as Board Secretary and participate in board meetings.
Analyze and interpret complex provisions in multi-part contracts to ensure compliance and consistency.
Interact with and advise internal clients on contract status, legal risks, and appropriate solutions associated with different deals, and provide general legal advice to various departments on a variety of topics.
Review and negotiate RFPs and ensure timely completion.
Lead review and improvement of existing legal documents, online policies, terms and conditions, and contracting processes.
Assist with domestic and international employment and benefits related issues.
Support rapid global expansion and provide timely counsel across many different time zones.
Engage fully, communicate openly, and forge close working relationships across the enterprise.
Qualifications:
We are interested in every qualified candidate who is eligible to work in the United States. However, we are not able to sponsor visas.
Must have a law degree from an ABA accredited school.
Must be admitted to and in good standing with the Florida Bar or be able to attain Florida Authorized House Counsel status within sixty (60) days of hire.
1-5 years of law firm/in-house experience focused on the negotiation and documentation of significant technology transactions, preferably with SaaS/PaaS experience in a start up and international setting.
Strong team player who can work well with BenefitHub colleagues at all levels, in all departments, and in all countries.
Strong leadership ability, and outstanding influence and communication skills.
Ability to prioritize, manage, and multi-task in a fast-paced, high-output, team-oriented, and practical environment.
Uncompromising integrity, with the ability to balance comfort in making decisions with imperfect information with knowing when to obtain additional information.
Experience with employment law, insurance broker/agency operations, and data privacy issues, especially in an international context, is a big plus.
