Commercial Counsel

Misfits Market is looking for a Commercial Counsel to join its growing legal team. As the company’s fourth lawyer, you’ll work directly with the General Counsel and with leaders across the company to manage the company’s day-to-day legal and compliance needs and help execute the company’s strategic priorities. This position will report directly to the Deputy General Counsel and is remote.

What You'll Do:

Review, negotiate, and draft a variety of agreements, including commercial contracts, license agreements, agreements with technology companies and other service providers, social media and other marketing agreements, real estate agreements, and agreements with Misfits Market’s product vendors.

Provide advice and counsel to your colleagues across the company on legal matters, including intellectual property, advertising, privacy, and everything in between.

Identify and evaluate business and legal risks, and find creative ways to mitigate them while achieving business goals.

Develop and maintain current knowledge on legal developments relevant to Misfits Market’s business.

Ensure ongoing compliance with food safety, privacy, employment, product, marketing, and other laws and regulations affecting Misfits Market’s business.

Assist the Legal Team with corporate governance matters and the execution of strategic transactions, including equity and other financings.

Create templates and guidelines to allow teams to independently address common commercial needs.

Who You Are:

Passionate about increasing access to high quality food and helping to break the cycle of food waste, and energized by the challenges of serving a dynamic, fast-growing company.

Have 3+ years of relevant experience, ideally with a mix of law firm experience and experience in-house at a fast-paced technology, food, or consumer goods company.

Have strong general commercial contract drafting and negotiation skills.

Have excellent communication (written and verbal) and interpersonal skills, and are able to communicate clearly and productively with your non-legal colleagues.

Organized, detail-oriented, resourceful, and flexible.

Able to work under pressure, meet deadlines, and prioritize and manage multiple matters simultaneously in a fast-paced, entrepreneurial, rapidly scaling environment.

Able to understand business needs and partner with your colleagues across the company to find creative solutions, with a strong understanding of the interplay between legal and business risk.

A team player who works collaboratively with other members of the legal team and with your colleagues across the company, who can also operate autonomously.

Have a strong desire to learn the business and new areas of law.

Admitted, active, and in good standing with the New York State bar.
