The Associate Counsel II will function as the primary subject matter expert in a specified field for the Group in the Americas Region. The Associate Counsel II will provide legal counsel to the organization across geographies, but in particular to APL Business Units and Functional Groups in the Americas Region.

Key Accountabilities/Job Duties

Ensure timely, cost effective delivery of quality legal advice and counsel to support internal clients on a broad range of domestic and international legal issues. Establish and maintain relationships with key internal stakeholders to ensure proactive legal involvement and solicitation of assistance. Participate in litigation matters and investigations as required. Advise management on legal matters in order to safeguard the organization against legal liability. Ensure proper support of NOL Code of Conduct compliance efforts, including policy setting, enforcement, training, follow-up of EthicsPoint complaints and internal investigations.

Manage outside counsel when retained to (i) respond to high demand for legal services, (ii) address issues requiring special expertise and (iii) represent the Group’s interests in litigation. Includes evaluating and developing strategy with respect to complex issues and resolving disputes through negotiation or litigation while minimizing adverse publicity and monetary exposure, maximizing recovery and preserving on-going business relationships with customers, vendors and other third parties.

Key Results

Support Business Units, Functions and Regions with legal advice and representation necessary to achieve business objectives and minimze risk.

Manage external legal counsel to ensure that the company’s interests are protected and costs minimized.

Deliver improved policies, procedures or documents aligned to the objectives of the Group Legal strategic work plan, striving for best practices.

Provide timely, accurate, cost effective and well-organized advice to business clients within the Group.

Support NOL Code of Conduct compliance functions, in terms of policy setting, training, enforcement, and internal investigations.

Ability and willingness to engage with business clients and become an integral part of the business and commercial processes of the Company.

Required Experience

Ability to provide expert legal advice regarding the operation of APL’s US Flagged fleet of 9 ships including labor contracts, Jones Act, insurance (hull and machinery, P and I), Procurement, Claims, etc.

Government contracting advice including knowledge of FAR/DFAR

Regulatory work with various government agencies including Marad, FMC, CBP, DHS, DoD, etc.

Legislative understanding including drafting and analyzing legislation/legislative proposals

Security and facility security understanding and an ability to secure a classified security clearance

General business and maritime law

Understanding of transportation laws/regulations and laws covering ocean/intermodal shipments
