Senior Attorney - Corporate Governance & External Affairs
Provide legal assistance, advice and counseling primarily regarding contracts, corporate law (including corporate governance), financings and securities laws.
Oversee establishment of Crown Castle Political Action Committee (“PAC”) and Crown Castle Charitable Foundation (“Foundation”) and legal aspects relating to their respective activities.
Manage compliance with the Crown Castle Lobbying Policy and lobbying laws and regulations for all departments engaged in lobbying activities.
Assist with Corporate Secretary matters as needed.
As a senior member of the Legal team, a Senior Attorney is expected to initiate and lead special projects and to provide management support initiatives and training.
Essential Job Functions
Responsible for researching, interpreting and communicating federal, state and local laws and regulations relating to corporate governance, corporate law, financings, securities matters, the PAC, the Foundation and lobbying.
Ensure Crown Castle complies with applicable laws relating to the PAC and the Foundation.
Maintain and oversee an effective lobbying compliance program, including promoting awareness and observance of the Lobbying Policy, internal lobbying processes and compliance with lobbying laws and regulations.
Develop and provide effective on-going employee training programs regarding legal matters applicable to position scope, including with respect lobbying, the PAC, and the Foundation.
Respond to legal inquiries, assisting Crown Castle personnel with regard to applicable legal issues as needed.
Provide assistance with respect to Corporate Secretary matters, including minutes, resolutions and corporate records.
Draft, review, revise and approve, as appropriate, contracts regarding various matters.
Serve as the legal liaison to an Area, Region, or Corporate functional department, as needed.
Participate in special projects.
Provide guidance and leadership to other team members.
Juris Doctorate from an accredited law school
Five (5) years of related legal experience with a law firm or public company legal department
Corporate and transactional legal experience required
Corporate governance experience relating to publicly traded entities required.
Lobbying compliance, political action committee and/or similar experience preferred
Strong legal research and drafting skills
Strong knowledge of contract, transactional and business law
Demonstrated mastery of subject matter
Ability to work independently, problem solve and make decisions
Thorough knowledge of legal research and writing techniques
Charitable Foundation or relevant not-for-profit experience useful
Telecommunications experience useful
Ability to work with individuals of diverse background, personalities and opinions
Ability to maintain confidentiality
Strong computer skills
Superior communication skills – written and verbal
Reports to: Associate General Counsel & Corporate Secretary
Title(s) of direct reports (if applicable): Attorney, Paralegal or Senior Paralegal, Legal Assistant, Administrative Assistant
Working Conditions: Works in a normal office setting with no exposure to adverse environmental conditions. Some travel required.
