Exemplis is seeking an experienced General Counsel responsible for leading strategic and tactical legal initiatives. The General Counsel will provide senior management with effective legal advice on company strategies and their implementation, manages the legal function, and oversee the work of outside counsel. The General Counsel will be part of the executive team of the company. You will work collaboratively with the senior management team as a member of a growing, fast-paced, performance-driven company.

Responsibilities and Essential Functions:

Leads the company legal function and has responsibility for an operating budget and the business legal strategy.

Provide business savvy judgement for complex legal issues

Provide legal support for day-to-day business operations, including commercial contracts, employment law, intellectual property, product liability, risk management, real property, banking and business development matters

Drafts, negotiates and/or reviews a broad range of commercial agreements and NDAs with customers, suppliers, designers, consultants, financial institutions, employees, property developers and so on.

Serves as key legal advisor on all major business transactions, including mergers and acquisitions.

Develops, introduces and maintains strategically benchmarked processes to ensure business competitiveness, compliance with the law, and effective governance practices across the enterprise.

Reports frequently on the status of legal affairs to the executive team and senior managers as appropriate.

Coordinates with and manages outside counsel on litigation, property, contract and general corporate matters

Provide guidance on all aspects of product liability claims and mitigation

Manage all intellectual property matters related to trademarks, patents and disputes

Assists in establishing, drafting and implementing policies, practices and procedures related to all legal matters.

Qualifications, Skills and Education

Required Qualifications

J.D. degree from an accredited law school with superior academic credentials

5+ years of legal practical experience with an in-house legal department

Preferred Qualifications

Superior business judgment and strong problem solving skills

Superior writing, analytical, negotiating and communication skills

Experience working with acquisitions

Ability to quickly understand the big picture and develop practical solutions to meet the needs of the business

Ability to handle confidential information and material with the highest degree of discretion and professional responsibility

Ability to work under pressure, handle multiple competing priorities and provide practical legal advice

Ability to develop strong relationships with internal client managers as well as with outside counsel
