Job Overview:
Keurig Dr Pepper (KDP) is seeking a bright, energetic, business-minded attorney with extensive experience in mergers/acquisitions, strategic investments, corporate governance, and commercial transactions.This is a unique opportunity to work closely with KDP senior legal leadership and have visibility to the executive leadership team and a wide variety of enterprise-level work.
This position reports directly to the AGC over corporate transactions, securities, Board governance and finance, and will work closely with various legal department members, senior strategy and business development leaders, and outside counsel. The position will be based in the company’s corporate headquarters in Frisco, Texas.
Key Roles and Responsibilities:
- Draft, negotiate and finalize agreements for corporate transactions, including mergers, acquisitions, divestitures, strategic investments, joint ventures, and partnerships
- Handle day-to-day maintenance, governance and other ongoing legal issues related to KDP’s strategic investments
- Conduct legal due diligence for M&A and strategic transactions
- Assist with commercial agreements related to M&A and other corporate transactions
- Support strategy team as needed
- Coordinate efforts with legal and business teams across a variety of functions, including tax, treasury, accounting, IP and HR
- Assist in managing outside counsel in appropriate areas of coverage
- Performing other special assignments, strategic projects or duties as needed
Requirements:
- Bachelor’s degree, law degree, and law license in good standing
- 4-7 years of experience in mergers/acquisitions, strategic investments, corporate governance, and commercial transactions.
- At least 5 years legal experience gained through sophisticated law firm or in-house law practice.
- Requires experience gained at a leading law firm across a wide variety of transaction structures and prefer prior in-house experience and/or experience working very closely with public company clients.
- Must have high comfort level handling a broad variety of corporate work, including stock and asset purchase agreements, minority investments, joint ventures, complex commercial agreements, and corporate governance in both public and private company contexts
- Must be responsive, practical and highly motivated to independently drive projects to completion
- Outstanding written and verbal communication skills and the ability to develop the trust of colleagues across multiple departments, geographies and levels
- Strong executive presence, maturity and ability to sequence and prioritize tasks and perform well under pressure
- Attitude of responsiveness and service to internal client
- Ability to handle substantial work volume and competing priorities in a fast-paced environment.
- Willingness to travel as necessary, though minimal travel is expected
