Job Summary

The Assistant General Counsel – Marketing & Trading is a senior legal leader responsible for providing strategic legal guidance and support for the company’s natural gas marketing, trading, and commercial operations. This role partners closely with commercial, trading, risk management, and executive teams to structure, negotiate, and execute complex transactions while managing legal and regulatory risk.

The position requires deep expertise in energy markets, commodity trading, and commercial contracting, with a strong understanding of upstream and midstream natural gas operations. The Assistant General Counsel plays a critical role in enabling commercial growth, ensuring compliance with evolving regulations, and protecting the company’s interests across a broad range of domestic and international transactions.

Job Duties & Responsibilities

  • Provide legal counsel for natural gas marketing and trading activities, including physical and financial commodity transactions
  • Draft, review, and negotiate complex commercial agreements, gas sales agreements, transportation and storage agreements, and processing contracts
  • Advise commercial and trading teams on transaction structuring, credit terms, risk allocation, and contract enforcement
  • Support daily trading operations by delivering timely legal guidance on deal execution, confirmations, and dispute avoidance
  • Lead legal support for strategic commercial transactions, joint ventures, and market expansion initiatives
  • Collaborate with corporate development, finance, and commercial leadership on acquisitions, divestitures, and portfolio optimization efforts
  • Identify legal and commercial risks and develop mitigation strategies aligned with business objectives and risk tolerance
  • Advise on compliance with federal, state, and regional regulations impacting natural gas marketing and trading, and applicable state agencies
  • Interpret regulatory developments and guide implementation of policies related to market conduct, reporting, tariffs, and anti-manipulation standards
  • Partner with risk management and credit teams to address counterparty risk, collateral frameworks, and trading exposure
  • Manage and resolve commercial disputes, including contract interpretation issues, pricing disagreements, and operational conflicts
  • Oversee litigation, arbitration, and external counsel engagements as necessary
  • Provide legal input into negotiation strategy, contract structuring, and value optimization opportunities
  • Develop and enhance contract templates, legal processes, and internal controls to improve efficiency and scalability
  • Collaborate across Marketing, Trading, Risk, Finance, Operations, and ESG teams to ensure alignment of legal and commercial objectives
  • Serve as a trusted advisor to senior leadership, providing strategic insight on legal, regulatory, and market considerations
  • Deliver training and guidance to commercial teams on legal risks, contract management, and compliance best practices

Job Specific Skills

  • Extensive expertise in energy law, with a focus on natural gas marketing, trading, and midstream operations
  • Deep knowledge of industry-standard agreements and commodity trading structures
  • Strong understanding of regulatory frameworks governing energy markets
  • Proven ability to structure and negotiate complex, high-value commercial transactions
  • Strong business and commercial acumen, with the ability to balance legal risk and business priorities
  • Expertise in identifying, assessing, and mitigating legal and regulatory risks in dynamic market environments
  • Excellent negotiation, communication, and stakeholder management skills
  • Ability to operate effectively in fast-paced, transaction-driven environments
  • Strong leadership and mentoring capabilities, including influencing cross-functional teams

Education

Minimum: Juris Doctor (J.D.) degree from an accredited law school

Minimum: Active license to practice law in at least one U.S. jurisdiction, with the ability to practice in the assigned geographic area (or eligibility for admission)

Experience

Minimum: 8 years of related legal experience with a significant focus on energy, natural gas marketing, trading, or midstream operations
Preferred: Prior experience in a law firm (corporate/M&A, capital markets, or securities practice) and/or in-house legal department
Preferred: Prior in-house experience within an energy company and demonstrated experience supporting trading desks, marketing organizations, and complex energy transactions
