Principal Attorney Commercial Agreements

This role will be primarily responsible for supporting semiconductor sales contracts, including foundry, turn-key semiconductor design and sales and OSAT services. The attorney will be responsible for drafting and negotiating commercial contracts, government contracts, nondisclosure agreements and with occasional support for licenses and M&A transactions and integration. The Attorney must be a generalist with strong transactional skills, confident and business-minded with a proven ability to manage multiple projects in a fast-paced environment. This is a global role, with occasional travel required. This role is expected to act as the lead GF attorney for specific types of GF customer arrangements, standard terms and related processes (e.g., government contracting, NDAs, Automotive contracts, quality agreements, sales agreement templates and processes).

Summary of Role:

This position is responsible for independently managing the drafting and negotiation of complex and strategically significant sales transactions. The attorney will lead high‑value deals that often require coordination across GF teams, providing guidance to both executive and non‑executive stakeholders throughout the organization. The attorney must bring strong transactional expertise and demonstrate confidence, sound business judgment, and the proven ability to manage multiple complex projects in a fast‑paced environment.

Essential Responsibilities:

  • Negotiate with customers and internal clients to obtain deal closure.
  • Formulate effective and efficient negotiation and resolution strategies to meet business objectives based on deep knowledge of GF’s business, applicable law, risk analysis and financial analysis.
  • Provide advice and counsel to various functional areas of the business, including identifying and mitigating risks, and the impact and application of contract terms and the law to resolve issues.
  • Draft, review and advise on contract drafts. Responsible for providing accurate, timely, concise, well-drafted contract drafts.
  • Provide advice and guidance and management direction to other attorneys, paralegals and other contracts professionals.
  • Perform other relevant duties as assigned.
  • Occasional travel required. International travel may be required.

· Perform all activities in a safe and responsible manner and support all Environmental, Health, Safety & Security requirements and programs.

Required Qualifications:

  • Education - J.D., LLB (or equivalent degree).
  • Experience - 10+ years of experience at a law firm or comparable corporate environment in a sophisticated commercial transactions practice.
  • Skills - Excellent contract drafting skills.
  • Excellent negotiation skills.
  • Effective communication skills, including the ability to communicate effectively in both verbal and written form with all levels of employees throughout the company.
  • Proven success working in cross-functional and geographically diverse teams and utilizing available company resources effectively.
  • Strong interest in and proven track record with challenging assignments.
  • Travel - Up to 10%
  • Fluency in English Language – written & verbal
  • Physical Capacity Demands – Office work.

Expected Salary Range

$130,000.00 - $227,000.00
