Senior Legal Counsel
HR Legal Search has been retained by a dynamic infrastructure company to find a Senior Legal Counsel (SLC) in Dallas, Texas. This is a unique opportunity to join a team with sophisticated work, an inclusive culture, and competitive compensation. Our client seeks a lawyer with experience in a law firm and/or in-house settings, licensed to practice in Texas with broad corporate practice experience or litigation experience.
The SLC position will report directly to General Counsel and will perform a variety of legal functions relating to eminent domain, contracts, corporate governance, and corporate compliance. Candidates should have experience in research and writing, employment law, litigation, including litigation case management, and complex discovery. Additionally, the SLC will review, draft, and negotiate extensive contracts related to the design, construction, and business operations in the transportation industry while possessing current knowledge of legal developments and changes in relevant laws and regulations. A successful candidate should be able to work directly with commercial teams to review contracts and create resolutions while protecting the company from exposure to risk.
Essential Duties and Responsibilities:
- Negotiate and draft contracts pertaining to the company’s operations (e.g., construction and professional service contracts, supply agreements, license agreements, employment agreements, lease agreements).
- Draft and review internal company policies and procedures.
- Assist with Corporate Governance, including company organizational matters, filings, shareholder agreements, claims management and meeting Board appointments.
- Assist in the preparation and maintenance of Board documents, including surveys, resolutions, and written consents.
- Assist with Corporate Compliance, including PIA/FOIA, lender obligations, audits, DOT compliance, FHWA compliance Management of Insurance (PI/PD) Claims.
- Management of eminent domain/condemnation litigation.
- Research, draft and maintain company records.
Qualifications (Knowledge, Skills & Abilities):
A successful candidate will be comfortable working in a fast-paced environment, interacting with senior-level management, and functioning within an open-door team. A successful attorney in this role will have an adaptable and organized personality.
