UFG is currently hiring for Corporate Counsel - Reinsurance. This role serves as legal counsel to the company’s assumed and ceded reinsurance businesses, providing strategic, transactional, and regulatory support across a broad range of reinsurance matters. Corporate Counsel will advise business and functional stakeholders on treaty and facultative reinsurance transactions, contract wording, collateral and security arrangements, claims, dispute management, and related governance and regulatory considerations. The role requires strong technical reinsurance knowledge, sound judgment, and the ability to partner effectively with underwriting, claims, finance, and senior business leaders in a fast-paced, global environment.

Essential Duties and Responsibilities:

  • Serve as lead legal counsel on assumed and ceded reinsurance matters, including assumed treaty arrangements for domestic and international property and casualty business.
  • Draft, review, analyze, interpret, and negotiate treaty and retrocession contracts, including commutations, amendments, collateral instruments, confidentiality agreements, NDAs, broker agreements, and other commercial contracts to ensure consistency and company protection.
  • Advise on contract wording, allocation issues, coverage intent, and the legal and commercial implications of proposed reinsurance structures.
  • Partner closely with underwriting, claims, finance, operations, and executive leadership to deliver practical, business-focused legal guidance aligned with company objectives.
  • Support strategic transactions and corporate initiatives, including mergers and acquisitions, due diligence, transaction structuring, and negotiation of reinsurance-related terms.
  • Conduct legal research and monitor developments in reinsurance law, insurance regulation, reinsurance accounting, and corporate governance, translating changes into actionable guidance for the business.
  • Develop internal policies, playbooks, templates, and training materials to improve consistency, risk management, and contracting efficiency across the reinsurance portfolio.
  • Build strong internal and external relationships with brokers, reinsurers, counterparties, and industry groups to support negotiations, market engagement, and best practices.
  • Leverage technology and process improvements to enhance contract review, knowledge management, reporting, and overall legal operations.
  • Other duties as assigned.

Job Specifications:

Education:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to at least one U.S. state bar

Experience:

  • Extensive experience (5+ years) practicing law in reinsurance or insurance, ideally with meaningful exposure to assumed and ceded reinsurance transactions
  • Experience in reinsurance (Ceded, Assumed, FAL)
  • CPCU or ARe designation desirable

Knowledge, skills & abilities:

  • Demonstrated expertise in drafting and negotiating complex reinsurance agreements, including treaty and facultative contracts and related transactional documentation
  • Strong knowledge of insurance and reinsurance legal principles, regulatory requirements, and market practices affecting domestic and cross-border transactions
  • Keen analytical abilities and excellent judgment, a pragmatic approach to problem solving, flexibility to adapt and thrive in an environment that is constantly changing, and the ability to make smart decisions in the face of ambiguity and imperfect information
  • Self-directed, solution-focused individual who has a strong work ethic, strong business acumen, and the ability to collaborate cross-functionally to achieve enterprise-wide results
  • Skilled attention to detail and organization required
  • Strong organizational skills and the ability to manage multiple priorities and deadlines, particularly during renewal cycles and other peak business periods
  • Ability to prioritize and complete time-sensitive projects on time
  • Must deploy sound, mature legal judgment, and influence to build effective working relationships with a wide variety of internal and external colleagues
  • Experience with legal technology, contract management tools, or process improvement initiatives that enhance the quality and speed of legal support
  • Ability to explain complex and/or sensitive information in a straightforward manner
  • Desire to be a collaborative member of a highly engaged, high performing team

  • Must be available for occasional business travel. Estimated to be 5% of time or less.

Pay Transparency Statement:

UFG Insurance is committed to fair and equitable compensation practices. The base salary range for this position is $135,000 - $175,000 annually, which represents the typical range for new hires in this role. Individual pay within this range will be determined based on a variety of factors, including relevant experience, education, certifications, skills, internal equity, geography and market data.
