Trade & Working Capital Assistant General Counsel - Vice President

As an Assistant General Counsel / Vice President in Trade and Working Capital Legal, you will own primary legal coverage for receivables purchase programs established with corporate clients, alongside a broader portfolio of trade and working capital products. You will help teams structure and negotiate transactions end-to-end, turning complex legal issues into clear guidance and practical solutions. You will work side-by-side with trade professionals and partners across credit, risk, and compliance to move matters forward efficiently and thoughtfully. You will also support product development and evolving regulatory and policy considerations, including the digitization of traditional trade products.

Job responsibilities
- Lead legal coverage for receivables purchase programs, including program structuring and ongoing advisory support.
- Structure, document, and negotiate trade and working capital transactions, including receivables purchase documentation and related frameworks.
- Draft and negotiate loan agreements, reimbursement agreements, guarantees, and security agreements in support of trade and working capital solutions.
- Advise on and support other trade and working capital products, including letters of credit, supply chain finance, and related liquidity solutions.
- Identify legal risks early and propose practical, commercial solutions aligned to client and firm objectives.
- Partner with credit, risk, and compliance to support approvals, documentation standards, and execution readiness.
- Support product development initiatives, including expansion into new jurisdictions where applicable.
- Counsel on regulatory and policy matters impacting trade and working capital products, including the digitization of traditional trade products.
- Manage external counsel for jurisdiction-specific legal questions and local law support, as needed.
- Build and maintain templates, playbooks, and process improvements to drive consistent, high-quality execution.
Required qualifications, capabilities and skills
- Law degree (Juris Doctor).
- Licensed attorney and member in good standing in the state in which the position is based (or otherwise compliant with applicable in-house counsel registration rules).
- 3+ years of experience in a law firm and/or corporate legal department, with a focus on commercial transactions, lending, or financial services.
- Strong drafting and negotiating skills.
- Ability to translate complex legal concepts into clear, practical guidance for different audiences.
- Proven ability to collaborate with business partners and cross-functional stakeholders, including credit, risk, and compliance.
- Excellent written and verbal communication skills.
- Strong organizational skills and attention to detail, with the ability to manage competing priorities.
- Sound judgment and comfort operating in a fast-paced, execution-oriented environment.
Preferred qualifications, capabilities and skills
- Prior experience in lending, including trade finance and/or bank finance.
- Experience advising on receivables purchase structures or similar receivables-backed working capital solutions.
- Experience with cross-border transactions and multi-jurisdictional documentation

Attorneys must be licensed to practice law and a member in good standing or otherwise eligible to practice law in the jurisdiction in which the position is based.
