Role Overview

We are seeking a Commercial and Data Counsel to provide dedicated support to TP ICAP’s Parameta Solutions business across global markets. The role involves providing commercially-focused legal support, legal risk management and business partnership on a range of legal matters and projects related to market data and commercial contracts within a dynamic financial services environment. The position requires close collaboration with the broader global TP ICAP legal team, senior management and cross-regional stakeholders to align legal support and risk management with business objectives.

Role Responsibilities

  • Dedicated legal and commercial advice and legal risk management advice for the Parameta Solutions business within the TP ICAP Group.

  • Drafting, reviewing and negotiating outbound market data license agreements and other commercial contracts across Parameta Solutions’ client base.

  • Advising on internal compliance rule book drafting in conjunction with Group Compliance.

  • Collaborating and advising on commercial projects and strategic initiatives.

  • Collaborating with business and other support function stakeholders to understand and provide legal guidance on business objectives, coaching stakeholders toward optimal outcomes, and consistently balancing commercial ambition with legal risk and the Group’s strategic priorities, including providing and participating in training.

  • Partnering with commercial, operations and sales teams to design and support optimised processes and procedures for sales and contracts management, including adoption and use of AI.

  • Managing, drafting and assisting the business with all other commercial contracts, including inbound and intra-group licensing, technology procurement, collaboration and partnership agreements, support and non-disclosure agreements.

  • In conjunction with Compliance and the broader TP ICAP legal team, ensuring compliance with US law and regulation including monitoring legal and regulatory change for the business.

  • Assisting with review of Parameta Solutions’ public facing marketing collateral.

  • Partnering with the broader TP ICAP in-house legal teams in EMEA, Americas and APAC in relation to areas of subject matter expertise (including employment, regulatory, data protection, M&A and material litigation) on Parameta Solutions legal matters.

  • Engaging and managing (including costs) external counsel in conjunction with legal management and the broader TP ICAP legal team.

Experience / Competences

  • Candidates must be admitted to practice in New York

  • Ideal candidate will have a minimum of 3 years’ experience in private practice or practicing in-house specialising in either corporate and/or commercial agreements in a data company and/or market data environment;

  • Proven experience advising on and negotiating complex commercial initiatives including contracts, licensing arrangements, joint ventures, partnerships and collaborations in a data company and/or market data context within the financial services sector;

  • Ability to translate complex legal issues into practical, commercial solutions with a clear outline of any associated risks;

  • Experience in contributing to and managing legal aspects of cross-functional and large-scale projects;

  • Motivated self-starter, pro-active, solutions focused and able to multi-task in a fast-paced environment;

  • Exceptional attention to detail with excellent communication and interpersonal skills;

  • Ability to work independently and proactively drive matters forward, while being able to contribute successfully to all business areas with sound judgment on requirement to escalate to management;

  • Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines

  • Collaborative team player who thrives in a small, dynamic legal team and who feels confident contributing new ideas;

  • Strong communication skills and cross-functional relationship-building abilities;

  • Experienced in design and implementation of efficient legal processes to support rapid business scaling, ideally in a high-growth or transformation environment.

Salary Range

The expected base salary range for this role is $130,000–$180,000, with final compensation determined based on experience, skills, and qualifications.
