General Counsel
General Counsel & Chief Compliance Officer - Healthcare
Location: Beachwood, OH
Position Overview
We are seeking an experienced General Counsel to join our healthcare organization, focusing on Long Term Cre. The ideal candidate will have substantial experience in contract management, and corporate law, with specific expertise in healthcare regulations and transactions, compliance & M & A.
Key Responsibilities
- Conduct comprehensive healthcare regulatory due diligence including licensure verification, accreditation status, compliance history reviews, and assess regulatory risk profiles
- Structure transactions to ensure compliance with change of ownership requirements and regulatory obligations
- Provide expert guidance on federal healthcare regulations including HIPAA, Stark Law, Anti-Kickback Statute, False Claims Act, EKRA, and Medicare/Medicaid requirements
- Navigate state-specific healthcare regulations including corporate practice of medicine, fee-splitting prohibitions, certificate of need requirements, and state licensing
- Develop and maintain compliance programs addressing OIG guidance, CMS conditions of participation, quality reporting, and fraud and abuse risk areas including fair market value determinations
- Oversee HIPAA Business Associate Agreements, data privacy protocols, and breach response procedures
- Develop and maintain comprehensive contract management system for the firm and portfolio companies
- Draft, review, and negotiate commercial contracts including vendor agreements, service agreements, NDAs, licensing agreements, and employment contracts
- Review and structure healthcare-specific agreements including provider agreements, management services agreements, payor contracts, value-based care arrangements, medical directorship agreements, and equipment leasing with Stark/AKS compliance
- Establish standardized contract templates, processes, and compliance monitoring systems
- Provide strategic legal counsel on private equity investments, portfolio company operations, and exit strategies
- Draft, review, and negotiate complex legal documents including purchase agreements, shareholder agreements, and financing documents
- Structure corporate entities to comply with healthcare regulatory restrictions and optimize operational efficiency
- Manage relationships with external counsel while optimizing legal spend
- Create and maintain compliance policies including Code of Conduct, conflicts of interest policies, and whistleblower procedures
- Establish compliance training programs, conduct risk assessments, and develop corrective action plans
- Oversee government investigations, audits, self-disclosure processes, and monitor healthcare regulatory changes
Required Qualifications
- JD degree from an accredited law school and active state bar membership
- 5+ years of relevant legal experience with healthcare focus on healthcare transactions, contracts, and regulatory compliance
- Prior experience in a healthcare company, or healthcare law firm practice
- Demonstrated expertise in healthcare regulatory compliance including HIPAA, Stark Law, Anti-Kickback Statute, and fraud and abuse laws
- Proven experience with healthcare transactions, regulatory due diligence, and Medicare/Medicaid reimbursement structures
- Strong understanding of securities laws, corporate governance, and payor contracting
- Experience with Certificate of Need regulations and state licensing requirements
- Proven track record implementing contract lifecycle management systems
- Exceptional drafting and negotiation skills with attention to detail
- Previous experience at top-tier law firm healthcare practice and/or in-house legal department at healthcare organization
Preferred Qualifications
- MBA or advanced degree in healthcare administration, health law, or related field
- Experience with OIG compliance program guidance and advisory opinions
- Familiarity with contract management software and legal tech solutions
- Knowledge of telehealth regulations, 21st Century Cures Act information blocking rules, and cybersecurity frameworks
- Experience with laboratory compliance (CLIA), pharmacy regulations, FDA regulations for medical devices, and mental health parity regulations (42 CFR Part 2)
