About the Role

Transit Technologies is seeking a business-minded, CLO to serve as the company’s senior legal leader and a key member of the executive team, reporting directly to the CEO.

This role has expanded scope and will be responsible not only for leading the legal function, but also overseeing People/HR and helping build scalable corporate infrastructure to support a growing, multi-company platform.

As a centralized leader across legal and people functions, the General Counsel will play a critical role in:

  • enabling growth across operating companies
  • supporting M&A strategy and integration
  • reducing reliance on external counsel
  • establishing scalable processes, governance, and risk frameworks

This is a hands-on leadership role requiring both strategic thinking and operational execution.

Key Responsibilities

Executive Leadership & Enterprise Strategy

  • Serve as a key advisor to the CEO and executive team on legal, organizational, and strategic matters
  • Help shape company strategy, particularly as it relates to growth, acquisitions, and risk
  • Participate in board-level discussions and support corporate governance at the enterprise level

Commercial Contracting & Public-Sector Partnerships

  • Lead and optimize all commercial contracting activities across the platform, including:
    • SaaS, subscription, and licensing agreements
    • Public-sector contracts, RFPs, and procurement responses
    • Vendor, partner, and reseller agreements
  • Develop standardized templates, negotiation playbooks, and approval frameworks
  • Enable Sales and Customer Success teams to execute efficiently while managing risk

Mergers, Acquisitions & Integration

  • Lead legal support for M&A activity, including:
    • due diligence and risk assessment
    • transaction structuring and negotiation
    • post-acquisition integration
  • Partner with Finance and executive leadership to streamline acquisition processes and reduce external spend
  • Establish repeatable integration frameworks across operating companies

Governance, Compliance & Risk Management

  • Establish and maintain enterprise-wide governance structures and policies
  • Oversee compliance with public-sector, data privacy, and regulatory requirements
  • Build scalable risk management frameworks aligned with company growth
  • Manage litigation, disputes, and insurance matters

Legal Operations & Cost Optimization

  • Centralize legal operations across multiple operating companies
  • Reduce reliance on external counsel through internal capability building
  • Implement tools, processes, and workflows that scale with the business
  • Manage outside counsel relationships, performance, and budget

People / HR Leadership

  • Oversee the People/HR function, including:
    • HR leadership and team development
    • employment policies and compliance
    • employee relations and organizational development
  • Partner with executive leadership to build a strong, scalable culture
  • Align people strategy with company growth and operational needs

Cross-Functional & Product Support

  • Advise Product and Engineering on legal considerations related to:
    • data usage and privacy
    • integrations and partnerships
    • AI-enabled features and emerging technologies
  • Educate internal teams on legal, compliance, and contracting best practices

What You’ll Bring

  • Juris Doctor (JD) and active bar membership in good standing
  • 10–15+ years of legal experience, with significant in-house leadership experience
  • Experience operating as a senior legal leader (GC, Deputy GC, or equivalent) in a multi-entity or PE-backed environment
  • Strong background in SaaS, enterprise software, and public-sector contracting
  • Experience supporting M&A transactions and post-acquisition integration
  • Demonstrated ability to build and scale legal functions and infrastructure
  • Experience managing or partnering closely with HR / People functions
  • Strong executive presence with the ability to influence senior leadership and board-level stakeholders
