Vice President, Transactions Attorney

Reporting to the Chief Legal Officer, the Lead Transactions Counsel will support and closely collaborate with the Legal, Business Development, Alliance Management, Technical Operations, and Research and Development teams. This role involves broad business and legal counseling for these business units as well as leading the legal activities for a broad range of transactions, including complex partnerships and licensing to support the business across the breadth of the pipeline, including licensing, collaborations, partnerships, supply and manufacturing agreements, partnerships, import/export, international transactions, and other activities as needed to support Viridian’s growing business as we become a commercial company and continue to develop and build our pipeline.
The ideal candidate is a collaborative attorney with strong cross-functional collaboration skills, creativity in solving legal issues with a business-focused approach, excellent judgment, the ability to manage tight timelines as well as complex deal structures, and comfort operating in a fast-moving, scaling biotech environment. This role requires the ability to be both strategic and tactical while being a member of a collaborative and Legal team focused on providing top-notch business support with a culture that believes we succeed best together as a team. Management experience and the willingness and ability to grow and mentor other lawyers and business partners is a plus.
This role is based in our Waltham, MA headquarters. Our office-based employees are required to work in the office three (3) days a week.
Responsibilities (including, but not limited to):
- Provide business and legal counseling to the Business Development, Alliance Management, Technical Operations, and Research and Development teams on a variety of business and legal questions and advise cross-functional teams on contractual rights, obligations, interpretation, compliance considerations, and risk mitigation in order to achieve business goals
- Draft, review, and negotiate a wide variety of strategic and operational agreements including MTAs, CDAs, sponsored research agreements, option agreements, licenses, collaboration and partnership agreements, CDMO, CMO, and supply/manufacturing agreements
- Partner with Business Development to support evaluation and negotiation of potential acquisitions, in-licensing opportunities, and strategic partnerships
- Provide legal and strategic support to internal partners throughout the transaction lifecycle, including deal structuring, due diligence, risk assessment, and execution
- Support broader Legal department initiatives and take on special projects aligned with Viridian’s evolving needs
- Requires a J.D. degree and active membership in good standing in at least one U.S. state bar with 20+ years of experience as a business unit/transactional attorney, ideally with a blend of law firm and in-house biotech/pharma experience
- Strong background drafting and negotiating life-sciences agreements (licensing, collaborations, supply/manufacturing, clinical, or commercial)
- Demonstrated ability to work as part of a team while building strong relationships across functions
- Excellent communication skills, business judgment, and a practical, solutions-oriented approach
- Strong commitment to ethical standards
- Proficient with Microsoft Office suite (i.e., Word, PowerPoint, Excel, Outlook, SharePoint, etc.)
- Ability to travel as needed to support transactions
