Senior Corporate Counsel
CCL’s Senior Counsel are instrumental in navigating complex legal challenges, mitigating risks, and ensuring organizational compliance with the ever-changing web of laws and regulations. They collaborate closely with senior management, cross-functional teams, and external stakeholders to safeguard the organization's interests, while also fostering innovation and growth. Senior Counsel must possess an excellent academic background, substantial experience in legal practice, and a proven track record of handling intricate legal matters. This individual will provide authoritative counsel on a broad spectrum of issues, ranging from commercial transactions, marketing, real estate, corporate governance, including IT and cyber-security, and regulatory and sustainability compliance. This role offers a dynamic and challenging environment where your legal acumen and leadership capabilities will significantly impact the organization’s trajectory.
Senior Corporate Counsel Responsibilities & Duties
- Provide legal advice and support to various business units
- Draft, review, and negotiate complex contracts and agreements
- Ensure compliance with federal, state, and local laws and regulations
- Advise on corporate governance matters
- Real estate and lease agreements
- Advise on IT and Cyber-security
- Advise on Sustainability
- Conduct legal research and keep abreast of legislative changes
- Develop and implement legal policies and procedures
- Support M&A transactions and other strategic initiatives
Senior Counsel Qualifications & Skills
- 10+ years of legal experience, preferably in a corporate setting
- Experience with complex commercial transactions
- Strong background in regulatory compliance
- Excellent negotiation and communication skills
- Proven ability to manage multiple projects simultaneously
- Demonstrated leadership and team collaboration skills
- Advanced degree in law (LL.M or equivalent)
- Juris Doctor (JD) from an accredited law school
- Admitted to the state bar and in good standing
- Minimum of 7 years of relevant legal experience
- Expertise in corporate law, including commercial contracts and litigation
- Strong analytical and problem-solving skills
- Ability to work independently and as part of a team
- High ethical standards and professional integrity
- Excellent written and verbal communication skills
