Sr. Corporate Counsel, Supply Chain
Description
As Senior Corporate Counsel, Supply Chain, your primary responsibilities will be drafting, reviewing, and negotiating commercial and government contracts and overseeing legal matters related to Long Wall’s supply chain. You will have the opportunity to shape how the legal team provides quick and high-value legal counsel to our stakeholders. You are not limited to the above, however – you will have the opportunity to solve problems and provide guidance across the full spectrum of legal considerations a growing company encounter. We are looking for an experienced, professional, and pragmatic attorney who can work effectively in a fast-paced environment and can build processes and procedures that scale.
RESPONSIBILITIES:
- Draft, negotiate, and/or oversee the drafting and negotiation of a wide range of legal documents, including commercial and government contract documents, non-disclosure agreements, teaming agreements, leases, licenses, acquisition and disposition agreements, cloud, SaaS, IT, and other licensing agreements, and supplier agreements.
- Fully own Long Wall’s legal support for supply chain, including design, development, and implementation of policies, procedures, templates, and training that (i) maximally leverage cost-efficient resources, including artificial intelligence, and (ii) ensure that the appropriate terms are flowed down to our counterparties.
- Provide strategic and day-to-day legal advice to internal stakeholders, including senior management, sales, finance, and engineering, balancing legal risk with business objectives.
- Provide legal guidance on flow-down requirements from the FAR, DFARS, and other federal regulations.
- Advise proposal teams on supply chain legal risks in new business opportunities.
- Serve as a primary point of contact with key external stakeholders on legal matters, including counterparties, outside counsel, and other third parties.
- Perform other duties and tasks as requested.
BASIC QUALIFICATIONS:
- Bachelor’s degree.
- Juris Doctor from an accredited law school and active membership in good standing with at least one U.S. state bar, with the ability to practice or register as in-house counsel in California.
- 6+ years of legal experience, including substantial time at a law firm and/or in-house role supporting government contracting.
REQUIRED SKILLS AND EXPERIENCES:
- Demonstrated experience drafting and negotiating a wide range of legal documents, including complex commercial and government contracts.
- Experience advising on commercial and government contracts issues, FAR/DFARS requirements, and other compliance issues.
- Demonstrated ability to operate effectively in a lean, fast-paced, entrepreneurial environment, including comfort handling both strategic matters and hands-on execution.
- A practical, solutions-oriented mindset, with a willingness to dive into new areas of law and expand your skill set as the company grows.
- Excellent verbal and written communication skills, with the ability to clearly and succinctly present complex legal concepts to non-lawyers and to influence stakeholders at all levels of the organization.
PREFERRED SKILLS AND EXPERIENCES:
- Prior in-house experience at a growth-stage or mid-size aerospace, defense, space, or other company in a highly regulated industry.
- Demonstrated experience negotiating cloud, SaaS, and other IT and licensing agreements.
- Experience drafting flow-down templates and playbooks and negotiating flow-downs across a supply chain.
- Proven track record building or scaling a legal function, including developing templates, processes, and tools that increase speed and consistency.
- Familiarity with U.S. export control laws and regulations (ITAR/EAR).
- Experience implementing and maintaining a government contracts compliance program.
- Working knowledge of data privacy, cybersecurity, and information protection requirements relevant to U.S. government contractors and technology-forward manufacturing environments.
ADDITIONAL REQUIREMENTS:
- Ability to sit or stand for extended periods of time
- Ability to use a computer to complete assignments
- Ability to communicate with individuals and groups in person, by phone, and telepresence
- Ability to pick up to 12lbs
- While performing the duties of this job, the employee will typically work in an office environment
This is the lowest-to-highest compensation range we reasonably and in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range, and the range may be modified in the future. An employee’s pay position within the salary range will be based on several factors, including, but not limited to, relevant education, qualifications, certifications, experience, skills, geographic location, performance, and business or organizational needs.
