General Counsel
About the Opportunity
Reporting to the Chief Executive Officer, this position leads the Legal Department of the Clinton Foundation. In addition to managing a nimble legal team, serving on the Executive Committee, and acting as an integral participant in the Foundation’s strategic planning and management, the GC also: Provides strategic and legal counsel to the Foundation’s Executive Committee and Board of Directors as well as legal advice on day-to-day operations. The role requires expertise in exempt organization governance, risk management, employment law, commercial contracts, oversight of outside counsel, fundraising regulations, and legal matters related to privacy, trademarks, real estate, insurance, and other legal issues that face the Foundation on a regular basis.
The Legal Department furthers the Foundation’s mission by actively partnering with Foundation colleagues to foster a collaborative environment that drives strategic risk management, sound decision making and creative problem solving. Legal Department team members work with Foundation colleagues to create and enforce Foundation-wide policies, provide legal guidance, develop and negotiate contracts, conduct research and provide judgment regarding potential partnerships, contributions and other engagements.
Core Responsibilities
- Conducts and oversees execution of every level of legal work, including: policy and contract drafting and review, exempt organization guidance and compliance; state and federal filings as necessary; preparation for and support of Board meetings; Board and organizational governance matters; management of litigation; oversight of outside counsel, collaboration with Finance Department on matters regarding insurance, tax filings, annual audit and other relevant legal work; collaboration with Human Resources on matters regarding employment matters
- Provides legal, risk and other strategic advice to the Executive Team and Board of Directors, as well as to the senior managers of each initiative - including in all of the areas mentioned above
- Manages junior attorneys to create an inclusive team where feedback is freely shared, goals and expectations are co-created, team members are actively coached, and transparency is the norm
- Serves as the link between the Legal Department and other teams and departments; gives and solicits feedback from direct reports and peers regularly as both part of formal processes and informal day-to-day operations; plays an active role in the hiring process when needed; and provides guidance in connection with overall Foundation goals, activities and best practices
Minimum Qualifications
What we’re looking for:
- Juris Doctor (J.D.) degree required
- At least 15 years of professional experience as an Attorney in positions of increasing responsibility required
- At least 3-5 of those years in strategic oversight of a Legal team required
- Experience in both leadership of the Legal department for at least 3-5 years preferred

Compensation & Benefits
Our best estimate of the compensation range for this opportunity is $225K - 275K annually, depending on the experience you bring. This role is not eligible for overtime pay. This range is based on NYC market rates and may be adjusted if you will be working remotely.
