JOB DESCRIPTION

Pyxus International, Inc. is seeking an experienced Assistant General Counsel – Securities and Corporate Governance. The AGC will report to the company's Chief Legal Officer and work closely with our Executive Team as well as our Finance, Treasury and Investor Relations teams to prepare SEC filings and provide in-depth counsel on issues concerning SEC compliance, governance matters, debt and equity financings, mergers and acquisitions, joint ventures, ESG reporting requirements and general corporate law. Additionally, you will advise and play an integral role in the company’s compliance program.

This is a visible role in a fast-paced, professional and collaborative organization. The ideal candidate will be comfortable interacting regularly with executive management and a board of directors, as well as working across the company to advance strategic priorities.

RESPONSIBILITIES

  • Assisting with public company securities law compliance and preparation of SEC filings, including 10-K, 10-Q’s, Proxy Statement, 8-K’s, and ‘33 Act registration statements.
  • Advising on insider trading and Section 16 issues for directors, officers and other insiders.
  • Assisting with maintaining the governance calendar for the board and its committees, preparing materials for board and committee meetings, as well as assisting with annual shareholders meetings, including the drafting of resolutions, consents, certificates and minutes.
  • Assisting with various corporate governance initiatives relating to the company’s board of directors, including director and officer questionnaires, maintenance of corporate records, as well as review of Articles of Incorporation, Bylaws, board committee charters and other corporate governance documents and policies.
  • Handling corporate governance matters, including assisting in the preparation for board and committee meetings and maintaining corporate minute books and records.
  • Assisting with and supporting all phases of acquisitions, equity and debt financing transactions, private equity investments, and other sophisticated commercial transactions. Working with outside counsel to manage the legal aspects of financing transactions, including credit agreements and convertible note transactions.
  • Assisting cross functional efforts to advance environmental, social, and governance (ESG) initiatives.
  • Advising on executive and director compensation, equity incentive plan matters, and related securities matters.

QUALIFICATIONS

EDUCATION & EXPERIENCE

  • J.D. degree from an accredited law school and admitted to practice law in North Carolina (or eligible to practice as in-house counsel in NC).
  • 5-10 years of experience as a legal professional; experience at a top tier law firm or as in-house counsel preparing and reviewing SEC filings and working on complex transactional and commercial matters.
  • Experience providing legal counsel as in-house counsel, including exposure to international operations.
  • Must live a commutable distance to Global Headquarters in Research Triangle Park, NC

SKILLS & ABILITIES

  • Experience in corporate drafting, including resolutions, consents, minutes, certificates, legal memos, charters and bylaws, preferably developed through a combination of large law firm and public corporation experience.
  • Significant corporate transactions experience.
  • Excellent organizational skills, detailed-oriented and able to complete projects and other assignments efficiently, timely and with minimum supervision.
  • Superior written and verbal communication skills and analytical skills enabling timely and practical identification and communication of legal issues and risks.
  • Exceptional interpersonal skills and able to interact with a wide range of stakeholders
  • Practical, proactive and results-oriented.
  • Creative problem solver with customer focus and “can do” attitude.
  • Ability to multitask with a sense of urgency and ability to meet deadlines within a changing, fast‐paced environment.
  • Team player with strong interpersonal skills.
  • Excellent communication and presentation skills.
  • Good standing in a state bar with the ability to join the North Carolina bar
