RESPONSIBILITIES
Position Summary
The Corporate Counsel – Commercial Litigation is responsible for proactively managing commercial disputes and supporting dispute prevention, litigation strategy, and risk mitigation efforts. This role reports to the Associate General Counsel – Litigation, Investigations, and Employment and partners with business leaders and other members of the legal department to advise on pre-litigation disputes, oversee outside counsel, and manage all phases of commercial litigation, arbitration, and other contested proceedings. The attorney will also support subpoena response, discovery strategy, and broader litigation readiness efforts.
Essential Functions and Primary Duties
- Manage a portfolio of commercial litigation and pre-litigation disputes, including contract disputes, professional malpractice, business torts, and other business-related claims.
- Evaluate claims and defenses, assess legal and business risk, and recommend practical resolution strategies.
- Direct outside counsel on litigation strategy through all phases of litigation.
- Partner with internal stakeholders to gather facts, assess risk, manage discovery, and coordinate litigation response.
- Advise business teams on dispute avoidance, escalation, and documentation practices.
- Support subpoena, civil investigative demand, and third-party discovery responses.
- Assist with litigation holds, e-discovery coordination, records preservation, and document review processes.
- Prepare concise updates for legal leadership and business partners regarding case status, exposure, and reserve considerations.

Manage spend and vendor performance to promote cost-effective matter management.
Preferred Qualifications
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Ability to manage deadlines, work on multiple assignments and prioritize each.
- Proficient use of applicable technology.
- Exceptional communication skills, including a high degree of responsiveness to internal clients, outside counsel, and legal team members.
- Possess problem-solving ability through detailed analysis of various rules, regulations and laws.
- Proven high level of business integrity, client service and leadership skills.
- 2 years of relevant legal experience in commercial litigation, whether at a law firm, in-house, or both.
- 5+ years of relevant legal experience in commercial litigation, whether at a law firm, in-house, or both.
- Experience handling accounting-related disputes involving contracts, professional malpractice, or similar claims.
- Experience managing outside counsel and working effectively with internal business stakeholders.
- Familiarity with e-discovery, legal hold processes, and matter management systems.
- In-house experience in a public company or complex multi-jurisdictional business environment.
- Ability to balance legal risk with practical business needs and make sound, timely judgments.
