Position Overview

rPlus Energies is seeking a Senior Counsel, Finance to serve as a key in-house legal advisor on the financing of the Company's utility-scale renewable energy and storage projects. This role will lead legal workstreams across project finance, tax equity, corporate credit facilities, and related transactions. This role builds a close partnership with the Company's development, finance, and executive teams, and also requires management of outside legal counsel. Strong preference will be given for candidates available to be based in-office in our Salt Lake City, Utah headquarters. We will consider exceptional candidates based remotely. Occasional travel to project sites, banking partner offices, and outside counsel will be necessary (<10%).

General Responsibilities

  • Own legal aspects of project financings for renewable energy and energy storage projects, including construction loans, term loans, back-leverage facilities, and tax equity structures.
  • Draft, review, and negotiate financing documents, including credit agreements, equity capital contribution agreements (ECCAs), tax equity documents, guaranties, security agreements, intercreditor agreements, direct agreements, and consents.
  • Support corporate-level financings, including revolving credit facilities, letter of credit facilities, holdco loans, and intercompany loan arrangements.
  • Coordinate and manage outside counsel engagements on financing transactions, including scoping, budgeting, and monitoring legal spend to ensure efficient use of external resources.
  • Partner with the finance, accounting, and development teams to structure transactions, evaluate financing alternatives, and support diligence, funding, and closing processes.
  • Review and negotiate project-level commercial agreements affecting financeability, including power purchase agreements (PPAs), EPC agreements, module and BESS supply agreements, O&M agreements, and interconnection agreements.
  • Support merger, acquisition, divestiture, and joint venture transactions relating to project and portfolio interests, including drafting and negotiating LOIs, term sheets, purchase agreements, and related transaction documents.
  • Manage post-closing obligations, including funding conditions, reporting covenants, consents, waivers, amendments, and lender/investor communications.
  • Advise on tax matters affecting project financings, including IRA/ITC/PTC considerations, and entity governance.
  • Support the broader Legal team on cross-functional matters, including corporate governance, policy development, litigation support, and mentoring junior legal team members.

Skill Requirements

  • Juris Doctor (J.D.) from a top 50 ABA-accredited U.S. law school, with strong academic credentials (e.g., magna cum laude/summa cum laude, law review, order of the coif, or comparable distinction).
  • Active bar admission in good standing in at least one U.S. jurisdiction; ability to register as in-house counsel in Utah.
  • Minimum of three (3) years of practice as outside counsel at an AmLaw 100 law firm, with a substantial focus on project finance, energy finance, or tax equity for renewable energy or infrastructure projects.
  • Demonstrated experience negotiating complex financing and commercial transactions from term sheet through closing.
  • Strong working knowledge of the U.S. renewable energy market, including tax credit structures, project development lifecycle, and typical counterparties (lenders, tax equity investors, EPCs, OEMs, and utilities).
  • Excellent written, verbal, organizational, and interpersonal skills, with the ability to communicate complex legal issues clearly to business stakeholders.
  • Ability to independently manage multiple concurrent transactions and priorities in a fast-paced environment while maintaining exceptional attention to detail.
  • High degree of professionalism, sound business judgment, and a collaborative, team-oriented approach.
