Job Description:

This job is responsible for providing legal advice and support for artificial intelligence (AI)-related contracting, enterprise AI contracting standards, and strategic technology transactions while helping shape the legal framework governing the use, deployment, and management of AI-enabled and other critical technologies across the enterprise. Key responsibilities include structuring, drafting, reviewing, and negotiating AI-related provisions in vendor, client, technology, data, and commercial agreements; developing and maintaining enterprise contracting standards, templates, playbooks, clause libraries, and escalation frameworks; and advising on legal issues related to data use, intellectual property, cybersecurity, regulatory compliance, and AI governance. Job expectations include collaborating with Technology, Procurement, Risk, Compliance, Information Security, and business partners to support technology initiatives, negotiating complex technology transactions, providing practical legal guidance on emerging technologies, and enabling innovation through commercially reasonable and legally sound solutions.

Responsibilities:

  • Serve as a lead legal advisor on AI-related technology agreements and strategic technology transactions, including agreements involving AI tools, GenAI platforms, software, cloud, SaaS services, data, digital platforms and emerging technologies
  • Structure, draft, negotiate and advise on AI provisions in third party agreements, client agreements, data-sharing and data-licensing agreements, technology agreements, and strategic partnerships
  • Help define, develop and maintain enterprise AI contracting standards, including templates, clause libraries, playbooks, fallback positions, risk-tiering guidance, escalation criteria and approval materials
  • Advise on key AI and technology contracting issues, including data rights, restrictions on model training and fine tuning, ownership and use of inputs and outputs, model improvements, confidentiality, intellectual property, cybersecurity, regulatory compliance, transparency, and liability allocation
  • Partner closely with Technology, Procurement, Risk, Compliance, Information Security, and business stakeholders on the evaluation and implementation of AI and other technology solutions
  • Support escalations and approvals for AI and technology transactions that present significant legal, regulatory, operational, or reputational risk.
  • Help translate AI governance requirements and legal risk positions into practical contracting terms that can be used consistently across transactions
  • Monitor legal, regulatory, and market developments affecting AI contracting, data use, digital platforms, model governance and other emerging technologies, and translate those developments into practical guidance for internal stakeholders
  • Support audits, regulatory inquiries, internal governance reviews, and related risk management activities involving AI contracts, third party arrangements or client-facing AI commitments

Required Qualifications:

  • Active membership in good standing in at least one state bar or the District of Columbia.
  • Significant relevant experience advising on complex technology transactions, commercial agreements, or strategic vendor arrangements, preferably in a highly regulated environment.
  • Demonstrated ability to operate as both a legal advisor and a process partner, including improving workflows, governance routines, escalation paths, approval processes, and documentation standards.
  • Strong judgment, analytical ability, and comfort advising on novel or ambiguous issues involving evolving law, technology, policy, and enterprise risk considerations.
  • Strong client-facing and stakeholder management skills, including experience leading discussions with senior business, legal, risk, compliance, procurement, and technology stakeholders.
  • Ability to work independently, prioritize effectively, manage multiple matters simultaneously, and collaborate successfully across functions and levels of the organization.
  • Excellent written and oral communication skills, including the ability to present complex legal concepts clearly, practically, and concisely to non-legal audiences.

Desired Qualifications:

  • Experience advising on AI, SaaS, cloud, software licensing, or other strategic technology transactions.
  • Familiarity with or strong interest in AI contracting issues and related risk considerations.
  • Experience developing or using contracting standards, templates, clause libraries, playbooks, fallback positions or other repeatable tools that promote consistent legal and business execution.
  • Experience supporting complex technology negotiations, strategic vendor relationships, platform agreements, data agreements or commercial agreements in a regulated enterprise environment.
  • Familiarity with emerging AI regulatory frameworks, standards and guidance, such as the EU AI Act, NIST AI Risk Management Framework, and financial services regulatory expectations.

Pay range

$157,500.00 - $236,500.00 annualized salary, offers to be determined based on experience, education and skill set.

Discretionary incentive eligible

This role is eligible to participate in the annual discretionary plan. Employees are eligible for an annual discretionary award based on their overall individual performance results and behaviors, the performance and contributions of their line of business and/or group; and the overall success of the Company.
