About the Position

The Lead Counsel - Procurement and Construction will lead legal support for Linea's engineering, procurement, construction, and operations & maintenance activities across its growing portfolio of solar, battery energy storage system (BESS), and wind projects. Reporting to the General Counsel, this attorney will operate with significant independence, advising construction, asset management, development, and financing teams on contract strategy and administration from early-stage procurement through construction close-out and long-term operations. On an occasional basis, this attorney will also support M&A transactions, project development, and corporate matters as business needs arise.

Responsibilities & Essential Functions

  • Draft, negotiate, and administer EPC agreements, equipment supply agreements, and O&M agreements across Linea's solar, BESS, and wind portfolio.
  • Advise construction, asset management, development, and finance teams on contract risk allocation, change orders, notices, claims, and disputes across the project lifecycle.
  • Provide legal support on procurement strategy for major equipment and construction packages, including warranty and performance guarantee structuring.
  • Advise on tariff and trade policy risk allocation in equipment supply contracts, and the structuring of risk allocation.
  • Advise on tax credit-related contract provisions, including domestic content qualification, prevailing wage and apprenticeship requirements, FEOC, and related compliance considerations.
  • Supervise and manage outside counsel engagements related to the foregoing matters, balancing legal cost and business need.
  • Support project finance and tax equity counsel on construction-related conditions precedent, lender requirements, and diligence items tied to EPC, procurement, and O&M agreements.
  • Work cross-functionally with development, engineering, construction, and finance teams to ensure contracting processes and underwriting standards reflect Linea's risk tolerance and commercial priorities.
  • Identify and help build repeatable contracting tools, templates, and processes.
  • On an occasional basis, lead M&A transactions and assist with project development matters.
  • Assist the General Counsel on additional corporate and commercial matters as needed.

Qualifications

  • JD and license to practice law in the United States (California and New York licensure a plus).
  • 10+ years experience drafting, negotiating, and administering EPC, procurement, and O&M agreements for utility-scale solar, BESS, and/or wind projects.
  • Operate independently, providing sound business-informed legal judgment on risk allocation and negotiation strategy.
  • Experience with U.S. renewable energy incentives (ITC/PTC under Sections 45/45Y and 48/48E) and associated requirements (e.g. domestic content, prevailing wage and apprenticeship, and FEOC) as they pertain to procurement, construction, and O&M agreements.
  • Experience with tariff and trade policy risk in renewable energy equipment supply chains.
  • Exposure to M&A due diligence or early-stage project development matters a plus.
  • Strong commercial judgment and a solution-oriented approach to managing risk in a fast-paced, leanly staffed environment.
  • Excellent negotiation, drafting, and project management skills; ability to manage multiple concurrent transactions across asset classes.
  • Ability to communicate clearly with internal stakeholders across construction, asset management, development, finance, and executive management, and with external counterparties and outside counsel.
