SUMMARY DESCRIPTION:

As a key member of the Leadership Team, the Senior Corporate Counsel will efficiently and effectively administer the legal affairs of the Campaign for Tobacco-Free Kids and Global Health Advocacy Incubator (the Organization) by providing professional, timely, and valuable legal advice and services. The Legal Counsel’s role is to minimize liability exposure by recommending and implementing appropriate policies, practices, and procedures. This role provides timely and accurate advice on a variety of legal topics including staffing obligations and risks, risk management, board governance, contracts, and lobbying. Acting as the Organization’s primary legal practitioner for organizational issues, the Senior Corporate Counsel has responsibility for all legal business operations and selective global compliance and operational issues.



WHAT YOU'LL ACCOMPLISH:

The Senior Corporate Counsel is a member of the Organization’s Leadership team managing and overseeing the following essential functions:


Operational Oversight:

  • Review and update all procurement policies, procedures, and practices and ensure the contracting process for the organization is uniform and consistent with integrated organizational best practices in the U.S. and globally.


Contract Oversight:

  • Actively review, manage, and ensure legal compliance with all organization's contractual agreements, vendor agreements, hotel and events, partnership deals, and all related legal contractual business activities by identifying potential legal risks, safeguarding the organization's interests, and ensuring all contractual terms align with the organization’s mission and regulatory requirements.
  • Review and advise on all contract terms, including but not limited to: intellectual property rights, tax obligations, jurisdiction, conflict of laws, lease agreements, etc.


Regulatory Compliance and Risk Management:

  • Working with the Operations team, develop and implement a best-practice risk management program to ensure organizational compliance with U.S. law and regulatory policies.
  • As a member of the Operations Management Team, assist in the implementation of the organization’s international footprint and facilitate discussions related to this initiative.
  • In collaboration with Human Resources, oversee conflict of interest policy to ensure that all staff are trained and familiar with the policy.
  • Manage the organization-wide process for lobbying and reporting by ensuring that the Organization can legally and effectively advocate the goals of the organization to legislators and other governing bodies and protect its 501(c)(3) status.


Board Support:

  • Serve as Secretary of the Board by preparing minutes and resolutions for board approval.


SKILLS YOU'LL BRING TO THE ROLE:

  • J.D. degree required with 7+ years' of professional nonprofit experience in operations and enterprise risk management.
  • Member of the D.C. Bar.
  • Proven knowledge of statutes, rules, lobbying, and regulations pertaining to businesses, particularly within a nonprofit 501(C)(3) and (C)(4) structure.
  • Experience in managing nonprofit governance, risk management, and compliance requirements across various jurisdictions.
  • Success in providing legal counsel to a Board of Directors, including drafting and revising, corporate policies, bylaws, minutes, agendas, and resolutions.
  • Excellent negotiation skills and experience in managing complex contracts and agreements.
  • Excellent communication, written and interpersonal skills, with the ability to interface effectively with all levels of the organization and external parties.
  • Experience in international development, compliance, and global regulatory laws is a strong plus.
