Senior Counsel
SUMMARY
The Senior Counsel provides legal support to the organization with a primary focus on reviewing and negotiating commercial contracts with our customers and vendors, particularly in the HVAC, refrigeration and construction industries. This role reports to the General Counsel and works closely with sales leaders, operational leaders and cross-functional teams to ensure contracts are compliant, accurate, and aligned with company objectives. This role will also review and, where appropriate, develop contract templates for all business units. The Senior Counsel will serve as a key advisor, simplifying legal matters into practical solutions and building processes that improve efficiency and reduce risk across the business.
Responsibilities
- Serves as lead counsel for CoolSys’ commercial contracting function, from intake through execution.
- Drafts, reviews, and negotiates all types of commercial contracts, including master services agreements, construction contracts, AIA agreements, subcontracts, equipment sale contracts, statements of work, SaaS agreements, real estate leases and other commercial agreements.
- Develops and maintains internal processes for contract review, approvals, and record-keeping.
- Reviews contract templates and updates them as business and legal requirements evolve.
- Advises on best practices for mechanics liens, UCC liens and related instruments.
- Partners closely with sales, operational, finance, and management teams to support project execution and resolve legal issues.
- Provides practical, business-oriented legal advice on contract interpretation, risk allocation, indemnity, limitation of liability, insurance requirements, warranties, payment terms, and dispute resolution.
- Communicates legal risks and requirements in clear, straightforward language to non-legal stakeholders.
- Advises leadership on regulatory developments impacting construction and commercial operations.
- Ensures that company practices align with applicable laws, regulations, and ethical standards.
- Embodies the CoolSys CARES culture (Collaboration, Accountability, Respect, Empowerment, Safety).
- Performs other duties as assigned.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in at least one U.S. state.
- 7–10+ years of transactional legal experience with significant in-house experience preferred.
- Strong background in drafting, reviewing and negotiating myriad commercial contracts, including construction contracts, AIA agreements, master services agreements, subcontracts, and various other types of commercial contracts.
- Strong working knowledge of liens preferred.
- Experience negotiating equipment sale contracts preferred.
- Ability to independently manage a substantial workload and prioritize competing deadlines in a fast-paced business environment.
- Ability to communicate legal concepts in simple, actionable terms.
- Solid organizational skills with the ability to manage multiple priorities.
- Strong business acumen and ability to balance legal risk with operational goals.
- Proficiency in Microsoft Office (Word, Excel, Outlook) and willingness to learn new systems.
- Demonstrated problem-solving and conflict-management skills.
- High integrity and sound professional judgment.
