Vice President, Assistant General Counsel - Asset Management

As a Vice President, Assistant General Counsel on the J.P. Morgan Asset Management Americas Institutional team, you will support an Institutional Americas asset management platform with hundreds of billions in assets under management and a global asset and wealth management business with more than $7 trillion in client assets. The role includes both the formation of new funds and the maintenance of existing funds, as well as broad coverage of institutional asset management matters, including client contracting and distribution support. You will utilize your expertise and in-depth knowledge of investment management legal issues, including relevant regulations and guidance on investment advisory matters. You will work closely with an experienced group of professionals and have significant responsibilities for guiding tactical and strategic business initiatives.

Job Responsibilities
- Provide legal advice and counsel to the J.P. Morgan Asset Management Americas Institutional asset management business, with a focus on OCC regulated collective funds and general institutional client matters.
- Provide legal support and advice regarding funds, separately managed account mandates, sub-advisory arrangements and other products and solutions.
- Advise the business on a wide range of legal and regulatory issues relevant to the formation, structuring and management of investment products, including drafting, reviewing and negotiating investment management agreements, side letters and other contracts.
- Provide distribution-related legal support for institutional asset management products, including partnering with stakeholders on product positioning, regulatory considerations and client communications as appropriate.
- Work closely with other members of the Legal Department and other control functions (for example, Compliance and Risk) to identify, escalate and resolve issues, including coordination across regions as needed.
- Participate in business committees and collaborate with colleagues across product strategy and development, finance, marketing, portfolio management, compliance, risk and the Legal Department.
- Oversee and manage outside counsel efficiently, including engagement scope, spend management and quality control.
- Coordinate as needed with other divisions within Asset and Wealth Management.
- Provide legal support for institutional client diligence, including due diligence questionnaires and responses to requests for proposal.
- Provide legal support for special projects and cross-business initiatives.
- Perform additional duties as assigned to ensure high-quality legal support for the business.
Required Qualifications, Capabilities, And Skills
- Juris Doctor degree
- Minimum of 5 years of relevant law firm experience
- Experience negotiating side letters and other investor terms
- Knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory matters
- Knowledge of relevant laws (for example, the Investment Advisers Act)
- Demonstrated legal analytical, drafting and negotiation skills
- Demonstrated strong interpersonal, communication (verbal and written), and organizational skills, with proven ability to serve as a trusted advisor to business partners or clients
- Proven ability to work independently, prioritize multiple projects, and manage competing deadlines effectively
- Proactive, responsive, and dynamic team player with a solutions-oriented mindset and strong judgment
Preferred Qualifications, Capabilities, And Skills
- In-house experience supporting an asset management or investment management business
- Experience with institutional separately managed accounts, sub-advisory arrangements and complex client negotiations
- Understanding of OCC Regulations, ERISA and the Bank Holding Company Act
- Experience with the Investment Company Act
- Familiarity with the Securities and Exchange Commission marketing rule and related advertising and solicitation considerations
- Knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934 in relevant contexts
- Experience supporting cross-border matters, including Europe, Middle East and Africa and Asia Pacific nexus
