General Counsel & Secretary
JOB DESCRIPTION
Position Summary
The General Counsel & Corporate Secretary serves as the Company's chief legal officer and trusted advisor to the CEO, Board of Directors, and executive leadership team. This executive is responsible for leading Conduent's global legal function, overseeing corporate governance, regulatory compliance, ethics, risk management, litigation, employment law, commercial contracting, privacy, and strategic business transactions.
As Corporate Secretary, the role provides governance support to the Board of Directors and its committees, ensuring adherence to applicable legal, regulatory, and fiduciary requirements. The General Counsel is a key member of the executive leadership team and plays a critical role in driving business strategy, protecting the Company's interests, and fostering a culture of integrity and compliance across the enterprise. This role aligns with Conduent's Legal, Risk, Ethics, and Compliance organization.
Key Responsibilities
Executive Leadership & Strategic Counsel
- Serve as principal legal advisor to the CEO, Board of Directors, and executive leadership team.
- Partner with business leaders to evaluate strategic initiatives, growth opportunities, operational risks, and regulatory developments.
- Provide practical, business-focused legal guidance that supports growth while managing enterprise risk.
- Lead the legal department and establish priorities aligned with the Company's strategic objectives.
Corporate Governance & Board Leadership
- Act as Corporate Secretary to the Board of Directors and its committees.
- Advise directors and executives on corporate governance matters, fiduciary responsibilities, securities laws, and governance best practices.
- Oversee board meetings, resolutions, minutes, governance policies, and corporate records.
- Ensure compliance with applicable public company reporting and governance requirements.
Legal & Compliance Oversight
- Lead all legal activities, including commercial contracting, employment law, litigation, labor relations, intellectual property, privacy, cybersecurity, regulatory compliance, and government contracting matters.
- Oversee internal investigations, ethics programs, and compliance initiatives.
- Ensure effective management of legal and regulatory risks across domestic and international operations.
- Partner with business leaders to implement policies and controls that promote ethical conduct and regulatory compliance.
Risk Management
- Collaborate with executive leadership to identify, assess, and mitigate enterprise risks.
- Provide legal guidance regarding strategic, operational, financial, and reputational risks.
- Oversee litigation strategy, dispute resolution, and engagement of outside counsel.
Commercial & Transactional Support
- Advise on complex commercial agreements, strategic partnerships, outsourcing arrangements, mergers and acquisitions, divestitures, and other business transactions.
- Support procurement, customer contracting, and go-to-market initiatives.
- Ensure legal frameworks support revenue growth while protecting the Company's interests.
Leadership & Talent Development
- Build, lead, and develop a high-performing legal organization.
- Manage internal legal professionals and external legal resources.
- Foster a culture of collaboration, accountability, innovation, diversity, and inclusion.
Qualifications
Required
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 15+ years of progressive legal leadership experience, including significant in-house counsel experience.
- Demonstrated experience advising public company boards, CEOs, and executive leadership teams.
- Expertise in corporate governance, securities law, employment law, compliance, litigation management, commercial contracting, and enterprise risk management.
- Proven ability to lead global legal teams within complex, highly regulated organizations.

Preferred
- Experience supporting publicly traded companies.
- Background in business services, technology-enabled services, outsourcing, government contracting, healthcare, transportation, payments, or other regulated industries.
- Experience managing global legal, compliance, ethics, and governance functions.
Pay Transparency Laws in some locations require disclosure of compensation and/or benefits-related information. For this position, actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. In addition to base pay, this position, based on business need, may be eligible for a bonus or incentive. In addition, Conduent provides a variety of benefits to employees including health insurance coverage, voluntary dental and vision programs, life and disability insurance, a retirement savings plan, paid holidays, and paid time off (PTO) or vacation and/or sick time. The estimated salary range for this role is $375,000 - $425,000.
