Auto Club Enterprises is seeking a junior Corporate Counsel to join its Privacy, Technology & Data Security Practice Group. This role focuses primarily on technology transactions supporting Auto Club Enterprises insurance, motor club, roadside assistance, automotive, travel, financial services, identity protection, and other consumer-facing businesses across multiple states.

The Corporate Counsel will work with junior and senior technology transaction attorneys to review, draft, negotiate, and close agreements involving technology vendors, software and SaaS providers, data providers, consultants, service providers, and other strategic partners. The role will also provide opportunities to support related matters involving privacy, data security and incidents, intellectual property, and financial regulatory compliance.

The position requires sound judgment regarding the protection of members and insured information, confidential business information, and the AAA brand and related trademarks.

What You’ll Do

• Review, draft, negotiate, and help internal stakeholders’ complete routine and complex technology agreements, including master services agreements, vendor agreements, SaaS and cloud services agreements, software licenses, data licenses, data processing agreements, professional services agreements, technology procurement agreements, consulting agreements, and implementation agreements.

• Review and negotiate data privacy and security terms in technology and vendor agreements, including data processing provisions, security requirements, incident notification obligations, audit rights, subcontractor controls, data-use restrictions, and deletion and return obligations involving personal, member, insured, financial, and other regulated or confidential data.

• Support technology transactions for ACE’s insurance and motor club operations across multiple states, including arrangements involving claims, underwriting, policy administration, member services, roadside assistance, automotive services, travel, financial services, identity protection, and related business functions.

• Support applicable regulatory cooperation requirements related to data privacy and security.

• Protect ACE’s brand and intellectual property by reviewing provisions concerning use of the AAA name, trademarks, logos, and other brand assets, and ensuring third-party use is subject to appropriate authorization and contractual controls.

• Collaborate with legal and business teams on procurement processes, negotiation strategy, intellectual property, privacy, cybersecurity, and data use.

• Provide accurate, timely, and business-focused advice on software licensing, license audits, open-source software, technology procurement, vendor risk, data use, privacy requirements, and internal policies.

• Assist senior counsel with privacy, data incident/security, intellectual property, financial compliance, and technology transaction matters.

• Support the development and improvement of contract templates, fallback language, negotiation playbooks, intake processes, approval workflows, training materials, and other legal operations resources.

• Identify and responsibly use contract lifecycle management tools, document automation, legal research platforms, workflow tools, and generative AI tools to improve the legal team’s efficiency, subject to appropriate confidentiality, privilege, accuracy, and information security safeguards.

• Apply sound judgment when using AI and legal technology tools with respect to personal information, regulated data, human review, and vendor terms.

• Manage multiple transactions and projects simultaneously, communicate status and risk clearly, and help move matters to completion within business deadlines.

What You’ll Need

• A J.D. degree from an ABA-approved law school.

• Active membership in good standing with the California Bar, or eligibility to practice as California registered in-house counsel.

• At least three years of transactional legal experience, preferably involving technology transactions, commercial contracts, software and data licensing, SaaS agreements, vendor agreements, professional services agreements, or data processing agreements.

• Experience drafting and negotiating commercial agreements and the ability to identify legal material, operational, privacy, data security, intellectual property, and business risks.

• Working knowledge of privacy, data incident/security, intellectual property, technology procurement, and commercial contracting principles.

• Familiarity with the legal and operational issues associated with consumer-facing businesses, insurance companies, financial services companies, motor clubs, or other regulated industries.

• Strong organizational, analytical, writing, negotiation, and communication skills, including the ability to express complex legal issues in clear, concise, and business-friendly language.

• The ability to recognize and weigh business and legal risks, think strategically, and recommend practical solutions that support business goals and deadlines.

• A demonstrated willingness and ability to use AI tools and other legal technology to improve legal work, subject to appropriate confidentiality, security, accuracy, and professional responsibility safeguards.

• Demonstrated ability to collaborate effectively with attorneys, business stakeholders, technology professionals, procurement teams, privacy and security personnel, and external vendors to achieve business and legal objectives.

• Proven ability to work independently while exercising sound judgment, proactively seeking guidance when appropriate, incorporating feedback, and continuing professional development under the mentorship of senior attorneys.

• Strong ability to manage a high-volume workload autonomously, prioritize competing demands, and consistently meet multiple deadlines in a fast-paced environment.

• Substantial experience negotiating and drafting technology-related agreements, including SaaS, cloud computing, software licensing, data licensing, data processing, technology outsourcing, and managed services contracts.

• Experience advising on privacy, data protection, and information security obligations in commercial agreements, including compliance with CCPA/CPRA, GLBA, state privacy laws, data breach notification requirements, insurance-industry privacy and security standards.

• Knowledge of intellectual property matters, including trademark counseling, copyright licensing, open-source software compliance, software ownership rights, and intellectual property portfolio management.

• Experience providing legal counsel to regulated organizations, such as insurers, financial services companies, motor clubs, healthcare organizations, or other consumer-facing enterprises operating in complex regulatory environments.

• Familiarity with data incident response, vendor risk management, information security questionnaires, security addenda, or technology governance processes.

The starting pay range for this position is:

$160,500.00 - $214,100.00
