Senior Counsel

ROLE & RESPONSIBILITIES:
The Senior Counsel is responsible for handling a broad range of legal work in connection with TDC’s activities. Although the Senior Counsel reports to the head of the Legal department, this position will be working with members of TDC staff from all of the company’s departments. In addition, the Senior Counsel is responsible for overseeing the work of TDC’s legal assistant and paralegal as well as outside counsel on a range of legal matters and for coordinating with TDC personnel.
Specific responsibilities will include, but are not limited to, the following:
- Managing TDC’s transactional deal flow, including the assignment of internal and external counsel and the marshaling of non-legal resources (e.g., other TDC departments, accountants and environmental professionals) to meet the needs of each transaction.
- Ensuring that each transaction is handled in a manner which is cost-effective in light of its complexity.
- For assignments handled directly by the Senior Counsel, playing a lead role coordinating all aspects of the transaction and delivering a top-quality result. This may include significant direct drafting and negotiation by the Senior Counsel of myriad transactional real estate agreements.
- Analyzing complex real estate investment transactions and providing strategic advice to TDC’s transactional and executive teams.
- Assisting as needed with the development and oversight of TDC’s SEC, ERISA and other regulatory compliance policies and procedures.
- Providing legal analysis, advice and support in connection with all potential investments, including commercial loans, real estate equity and credit investments, joint venture agreements, real estate fund investments, debt and equity asset management matters, workouts, foreclosures, bankruptcies, and sales of properties and investment interests.
- Working with and overseeing outside litigation counsel and outside counsel retained to handle complex and/or non-Massachusetts based transactional work, including oversight of legal bills.
- Perform other related duties, as required.
SKILLS & QUALIFICATIONS:
- JD with at least 10 years of relevant experience at a private law firm or an in-house legal department, each with a real estate focus.
- Experience with real estate investments, including real estate equity and joint venture matters, and ability to work on a broad range of real estate investment transactions.
- Strategic and analytical thinker with exceptional problem-solving skills, sound judgment, and a practical, creative approach to complex legal and business issues.
- Excellent interpersonal communication, and collaboration skills with the ability to work effectively across a fast-paced, cross-functional organization.
- Highly organized with the ability to manage multiple priorities, adapt to changing business needs, and thrive in a dynamic, entrepreneurial environment.
- Ability to work both independently and collaboratively while managing competing priorities in a fast-paced environment.

COMPENSATION & BENEFITS:
Base Salary Range: $240,000–$250,000
Compensation will include a bonus, and an attractive benefits package.
