What You Will Work On

As Senior Legal Counsel, Corporate, you will provide strategic legal guidance on corporate governance, securities law, SEC reporting, regulatory compliance, and corporate transactions for a publicly traded company. You will serve as a trusted advisor to executive leadership, the Board of Directors, and cross-functional business teams, helping the organization navigate complex legal and governance matters while supporting long-term business objectives.

In this role, you'll support Board and committee governance activities, public company reporting and disclosure obligations, and the management of subsidiary and affiliated entities. You will advise on securities law, investor relations, disclosure controls, financial reporting matters, and governance best practices, while helping ensure compliance with applicable legal and regulatory requirements. You'll partner with teams across Finance, Accounting, Tax, Treasury, Internal Audit, Investor Relations, Compensation, and Information Technology to identify risks, solve business challenges, and support key initiatives. You will also play a meaningful role in financing activities, capital markets transactions, and other strategic corporate projects, including due diligence, governance reviews, and related disclosure requirements.

As legal and regulatory landscapes continue to evolve, you will monitor developments in governance, cybersecurity, artificial intelligence, and emerging technologies, providing practical guidance on business impacts and risk mitigation. You will also leverage legal technology and AI-enabled tools to enhance legal research, document review, drafting, benchmarking, and overall operational effectiveness while maintaining the highest standards of confidentiality and professional judgment.

What You'll Bring

• Juris Doctor (JD) from an accredited law school
• Active membership in good standing with at least one State Bar
• 5+ years of experience in corporate law, securities law, capital markets, public company governance, or a related practice area
• Experience supporting public company reporting, corporate governance, and Board-related matters
• Experience advising senior executives, Boards of Directors, and cross-functional business partners
• In-house experience within a large public company or retail environment preferred

Education:

• Juris Doctor from an accredited law school
• Active membership in good standing with at least one State Bar

Work Experiences:

• Approximately 5 or more years of experience in corporate law, securities law, capital markets, and/or publicly traded company governance
• Significant experience with matters relating to corporate governance, policy governance, entity management, financial and regulatory reporting, proxy statements, Section 16 reporting, disclosure controls, corporate responsibility, capital markets, tax, and treasury
• In-house legal department experience at a retailer with at least $1 billion in revenue, preferred
• Prior experience working with and providing practical legal advice to senior management, executive leadership, the Board of Directors, and Board committees

Skills:

• Strong knowledge of corporate governance, securities law, SEC reporting requirements, Delaware law, and Nasdaq listing rules
• Experience supporting and interacting with Boards of Directors, executive leadership, and cross-functional business teams
• Experience preparing Board of Directors and committee materials, governance documents, and meeting processes
• Ability to draft, review, negotiate, and interpret legal and governance documents in a timely manner
• Proficiency with Microsoft 365/Copilot and legal technology solutions, including experience with Workiva, Diligent, iManage, and AI-enabled tools preferred
• Strong analytical, project management, and problem-solving skills
• Ability to manage multiple priorities and meet critical deadlines
• Strong written, verbal, and interpersonal communication skills
• Demonstrates professionalism, sound judgment, integrity, and confidentiality

Responsibilities:

• Advise on corporate governance, Board, committee, and director/officer matters, support corporate secretary responsibilities
• Support SEC and regulatory reporting, including Forms 10-K, 10-Q, 8-K, earnings releases, proxy statements, Section 16 filings, Director and Officer Questionnaires, investor presentations, and other public company disclosures
• Manage subsidiary and affiliated entity governance, records, annual meetings, consents, and compliance activities
• Develop and maintain governance policies, charters, templates, and related documentation
• Provide legal counsel on securities, disclosure, including Regulation FD, investor relations, financial reporting, and regulatory matters
• Partner with Accounting, Finance, Tax, Treasury, Internal Audit, Compensation, Investor Relations, IT, and other business functions to address governance and compliance matters
• Support corporate and debt/equity transactions, financing activities, capital markets initiatives, due diligence efforts, Board approvals, and related disclosure requirements
• Monitor legal, regulatory, governance, cybersecurity, AI, and emerging technology developments and provide practical guidance on business impact
• Conduct legal research, benchmarking, and assist with contracts, compliance, and other corporate legal matters as needed
• Support budgeting, outside counsel management, vendor relationships, and department operations
• Leverage approved AI-enabled tools to support legal research, document review, drafting, benchmarking, and quality control while maintaining confidentiality and legal privilege requirements
• Develop a thorough understanding of and follow Academy’s policies, procedures, and safety rules
