What will you be doing:
The Counsel, Technology Ventures Legal will provide quality legal services and advice to Cedars-Sinai's Technology Ventures program. Beyond Technology Ventures, the Counsel will also support the legal needs of the Cedars-Sinai Accelerator+, Cedars Sinai Health Ventures, and other innovation-related programs at Cedars-Sinai. Primary duties and responsibilities include the following:
- Draft, review, and negotiate a broad range of technology and commercial agreements, including non-disclosure/confidentiality agreements, consulting and services agreements, software and SaaS agreements, IP and data licenses, research and material transfer agreements, and other technology-related or corporate transactions.
- Advise Technology Ventures and its related programs on a wide variety of intellectual property, technology transfer, data, and venture capital-related matters.
- Coordinate relationships with Cedars-Sinai’s institutional partners, inventors, licensees, start-up companies, and vendors.
- Draft agreement summaries, policies and procedures, and correspondence regarding Technology Ventures and its related programs.
- Support agreement processing and tracking compliance with agreement obligations.
- Coordinate and support the protection and commercialization of Cedars-Sinai’s intellectual property portfolio.
- Monitor relevant legal and regulatory developments affecting technology transfer, intellectual property, licensing, data, artificial intelligence, emerging technologies, and venture capital transactions.
- Anticipate changes in the legal environment that may impact the operations of Technology Ventures and assess the need for changes to standard operating procedures and standard form agreements.
- Complete special projects and tasks assigned by the Executive Director for Technology Ventures Legal and manager(s) in Technology Ventures and its related programs.
- Participate in the development and promotion of cooperation, teamwork, and a close working relationship among the staff of Technology Ventures in achieving the goals and objectives of the program and Cedars-Sinai overall.
Hybrid Remote = must currently live in Los Angeles area or willing to relocate to LA area for onsite requirements
QUALIFICATIONS
Experience Requirements:
Three (3) plus years of relevant transactional legal experience, ideally in a sophisticated law firm and/or in-house environment, five (5) years preferred.
Demonstrated experience drafting and negotiating intellectual property, technology, commercial, corporate, or research-related transactions.
Strong contract drafting, negotiation, analytical, and communication skills.
Ability to independently manage transactions while collaborating effectively with legal and business stakeholders.
Preferred Qualifications:
Strong experience with software, SaaS, data, technology licensing, or other technology-related transactions.
Experience advising technology, healthcare, life sciences, digital health, or other innovation-focused organizations.
Experience with technology transfer, research collaborations, startups, venture capital, or strategic investments.
Familiarity with legal issues involving data, privacy, artificial intelligence, digital health, or emerging technologies.
Demonstrated ability to translate complex legal issues into pragmatic, commercially oriented advice.
Educational/Licenses Requirements:
Juris Doctorate degree, graduate of ABA accredited law school required.
Licensed Attorney – CA state bar membership required.
