Position Summary 

The General Counsel serves as the chief legal officer of the organization and is responsible for overseeing all legal matters, ensuring compliance with applicable laws and regulations, managing legal risks, and providing strategic legal guidance to executive leadership. The General Counsel acts as a key advisor in business strategy, governance, regulatory compliance, and risk management. 

Key Responsibilities 

Legal Strategy & Advisory 

● Provide proactive, strategic legal advice to the CEO, President and executive leadership team. 

● Align legal strategy with overall business objectives. 

● Identify and mitigate legal risks across all business operations. 

Corporate Governance 

● Advise on corporate governance best practices.

● Support Board governance, including preparing resolutions and reviewing materials. 

● Ensure compliance with bylaws, charters, and corporate policies. 

Regulatory Compliance 

● Oversee compliance with federal, state, and local laws and industry regulations, including those relating to worker classification and advertising/marketing. 

● Develop, implement, and monitor compliance programs. 

● Manage internal investigations and regulatory inquiries. 

Contracts & Transactions 

● Oversee drafting, review, and negotiation of commercial contracts. 

● Provide legal support for mergers, acquisitions, joint ventures, financing rounds, and other strategic transactions. 

● Ensure protection of intellectual property and proprietary information.

Risk Management 

● Advise on enterprise risk management. 

● Review insurance coverage and risk mitigation policies.

● Develop crisis response strategies. 

Leadership & Team Management 

● Build and lead the internal legal team. 

● Manage legal department budget. 

● Foster cross-functional collaboration with HR, Finance, Operations, Engineering, Product and Compliance teams. 

Qualifications 

Education & Experience 

● Juris Doctor (JD) from an accredited law school. 

● Active bar membership in good standing & In-House experience required,  

● 10+ years of legal experience, with significant experience in corporate law

 

Skills & Competencies 

● Strong business acumen and strategic thinking. 

● Excellent negotiation and communication skills. 

● High ethical standards and professional integrity. 

● Ability to manage complex legal matters and multiple priorities. 

Preferred Qualifications

● Experience in a B2C e-commerce company (ideally a platform marketplace (e.g., Uber, Instacart)). 

● Experience working with founders. 

● Background in diverse legal disciplines (including corporate law, advertising law, and employment law).
