About the Role

We are seeking an experienced and business-minded Corporate Attorney to provide legal guidance and support across the organization. This position will work closely with executive leadership and internal departments to manage legal risk, review and negotiate agreements, support corporate governance, and help ensure compliance with applicable laws and regulations.

The ideal candidate combines strong legal knowledge with practical business judgment and is comfortable advising leadership in a fast-paced, growing organization.

Key Responsibilities

  • Provide legal counsel to executive leadership and internal departments on corporate, commercial, employment, regulatory, and operational matters.
  • Draft, review, negotiate, and revise a wide range of business agreements, including vendor agreements, service agreements, confidentiality agreements, consulting agreements, licensing agreements, and other commercial contracts.
  • Identify potential legal and business risks in contracts and business activities and recommend practical solutions.
  • Support corporate governance matters, including corporate records, resolutions, policies, entity documentation, and regulatory filings.
  • Monitor changes in applicable federal, state, and local laws and regulations and advise leadership on potential business impact.
  • Develop, review, and update company policies, procedures, agreements, and other legal documents.
  • Advise management regarding employment-related legal matters in coordination with Human Resources.
  • Assist with legal matters involving business transactions, partnerships, acquisitions, corporate restructuring, or other strategic initiatives as needed.
  • Manage disputes, claims, investigations, and other legal matters affecting the organization.
  • Coordinate with and manage outside legal counsel when specialized representation is required.
  • Assist with regulatory inquiries, audits, investigations, and compliance matters.
  • Provide legal guidance related to confidentiality, intellectual property, data privacy, and protection of company assets.
  • Maintain organized legal records, contracts, corporate documents, and other confidential materials.
  • Conduct legal research and prepare legal opinions, summaries, and recommendations for leadership.
  • Provide training and guidance to employees and management regarding legal requirements, company policies, and risk prevention.
  • Perform additional legal and compliance responsibilities as assigned.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license and good standing with a U.S. state bar.
  • Bilingual fluency in English and Spanish is required.
  • 3+ years of relevant legal experience, preferably involving corporate, commercial, or business law.
  • Experience drafting, reviewing, and negotiating commercial contracts.
  • Strong understanding of corporate governance, regulatory compliance, and general business law.
  • Ability to identify legal risks and translate complex legal issues into clear, practical business recommendations.
  • Strong legal research, analytical, negotiation, and problem-solving skills.
  • Excellent written and verbal communication skills in both English and Spanish.
  • Strong attention to detail and ability to manage multiple priorities and deadlines.
  • High level of professionalism, discretion, and sound judgment when handling confidential matters.
  • Ability to work independently while collaborating effectively with executives and departments across the organization.

Preferred Qualifications

  • Prior in-house corporate legal experience.
  • Experience supporting a growing or multi-entity organization.
  • Familiarity with employment law, regulatory compliance, intellectual property, data privacy, or commercial transactions.
  • Experience managing outside counsel and legal vendors.
  • Experience developing corporate policies, compliance programs, or internal legal processes.
