Associate General Counsel

PACE Equity is seeking an Associate General Counsel to support the company's legal, transactional, and strategic initiatives. This position offers a unique opportunity to gain broad exposure to commercial real estate finance, construction lending, capital markets transactions, structured finance, and C-PACE financing. The ideal candidate will be a highly motivated attorney with 3-5 years of experience in commercial real estate, real estate finance, construction lending, or structured finance. Prior C-PACE experience is preferred but not required. This position will work closely with executive leadership, originations, underwriting, capital markets, servicing, and outside counsel.
Day-to-Day Responsibilities
Transactional Support
· Review, negotiate, and manage commercial real estate financing documents.
· Support the structuring and closing of C-PACE transactions nationwide.
· Review loan documents, intercreditor agreements, subordination agreements, guaranties, and related transaction documents.
· Assist with construction financing, draw structures, and lender coordination.
· Coordinate legal diligence and closing requirements with internal teams and outside counsel.
Capital Markets & Warehouse Facilities
· Support warehouse lending facilities, loan sale transactions, and structured finance programs.
· Assist with securitization transactions and related legal documentation.
· Review transaction agreements involving trustees, custodians, servicers, rating agencies, and institutional investors.
· Coordinate legal workstreams among multiple transaction parties.
Corporate & Regulatory Matters
· Draft, review, and negotiate vendor, confidentiality, consulting, and commercial agreements.
· Assist with corporate governance and entity management.
· Support licensing, regulatory, and compliance initiatives.
· Maintain legal templates, forms, and internal policies.
Outside Counsel Management
· Coordinate with and manage national and local outside counsel.
· Manage legal budgets and invoices.
· Develop standardized legal processes and documentation.
· Identify opportunities to reduce legal spend and improve efficiency.
Strategic Initiatives
· Partner with executive leadership on new products, programs, and business initiatives.
· Evaluate legal risks associated with new financing structures and market opportunities.
· Assist with mergers, acquisitions, joint ventures, and strategic partnerships as needed
Requirements and skills
· Juris Doctor (J.D.) from an accredited law school.
· Licensed and in good standing in at least one U.S. jurisdiction.
· 3-5 years of legal experience at a law firm, financial institution, real estate company, or similar organization.
· Experience with commercial real estate transactions, real estate finance, construction lending, or structured finance.
· Strong drafting, negotiation, and analytical skills.
· Ability to manage multiple projects simultaneously in a fast-paced environment.
Preferred and/or shows emerging capabilities
· Experience with commercial mortgage lending, mezzanine financing, preferred equity, or construction finance.
· Familiarity with securitization, warehouse lending, or capital markets transactions.
· Experience reviewing title, survey, environmental, and organizational diligence.
· Knowledge of renewable energy financing or C-PACE programs.
· Prior in-house experience is a plus but not required.
