In-House Counsel

Arlington, VA Full Time

The In-House Counsel will be responsible for counseling the business on a broad range of commercial transactions and regulatory matters. This position will provide legal counseling and work directly with the business units to ensure alignment with business goals and objectives in adherence to applicable laws, regulations and codes.

Essential Functions

  • Review, draft and negotiate contractual agreements with third parties including international business partners and suppliers
  • Provide advice and support in a wide range of areas including, but not limited to, marketing, promotions, procurement, IT, relevant regulatory matters, and intellectual property matters
  • Conduct research and analysis of specific legal questions and prepares memoranda and opinions setting forth research results, recommendations, and conclusions in a variety of legal areas
  • Keep current on legislative issues, statutes, decisions, and other important legal developments that may affect Company's interest
  • Identify, research and analyze relevant federal, state and local requirements and translate into business solutions
  • Pro-actively advise the business and developments pertaining to relevant legal matters
  • Develop strong cross-functional working relationship to ensure the legal team is aware of key legal issues affecting the business units
  • Instruct and manage outside counsel
  • Other duties as assigned


Required Knowledge, Skills, Abilities

  • Strong drafting, research, analytical, and negotiation skills
  • Excellent interpersonal skills as well as written communication skills
  • Familiar with a wide variety of general corporate and transactional work
  • Ability to be flexible, adaptable and in a fast-paced environment
  • Must be able to work independently and within tight deadlines
  • Strong problem solving and analytical skills with superior attention to detail
  • Strong technical and presentation skills
  • Ability to research legal issues and provide clear and concise written and oral advice
  • Ability to work under pressure and to quickly adapt to changing circumstances

Required Education, Certifications/ Licenses, Related Experience

  • Juris Doctor (JD) Degree from an accredited US law school required
  • 2 - 4 years of experience in related field required
  • Experience reading and interpreting regulations, laws, and statutes
  • Member in Good Standing of at least 1 state bar required (Virginia preferred)
  • Must be able to present certificate of Good Standing from State Bar

Physical Job Requirements

  • This position requires the ability to remain in a stationary position (standing and/or seated) more than half the time
  • The person in this position may need to move about the store(s), distribution center(s), warehouse(s), and/or corporate offices less than half the time
  • The person in this position must be able to maneuver (lift, move, carry, slide, etc.) less than 15 lbs.
  • This position operates machinery and/or equipment that requires the constant use of hands/fingers/wrists (ex: typing, etc.) all of the time
  • This position requires the ability to spend more than half the time viewing computer monitors

Travel Requirements

  • This position requires overnight domestic travel less than 25% of the time
  • This position requires overnight international travel less than 25% of the time
  • Anticipated travel will be by car, air, and/or train


Preferred Education, Certifications/ Licenses, Related Experience

  • 3 - 5 years of experience at a mid to large law firm in specific area that corresponds to business unit (preferred)
  • Additional in-house experience with general knowledge of business practices at large national or international company preferred
  • Experience in retail or wholesale corporation
