The Corporate Counsel to Mood will help ensure timely, knowledgeable, economically efficient and high quality legal support for Mood’s business, with a primary focus on commercial transactions for the sale, lease and distribution of Mood’s products and services. Corporate Counsel is directly involved in complex business transactions and in negotiating critical contracts and supervises the legal staff as assigned. Corporate Counsel is responsible for leading corporate strategic and tactical legal initiatives and will perform other legal responsibilities as may be requested by Mood’s Vice President of Legal and Business Affairs.
ESSENTIAL JOB FUNCTIONS

•Review and draft commercial agreements as well as provide feedback and counsel to internal clients including the VP of Legal & Business Affairs, executives, managers, and account executives
•Strategically negotiate commercial agreements with clients, vendors, strategic partners, and landlords
•Suggest alternative language during negotiations and provide creative solutions while achieving business goals and minimizing risks
•Provide legal advice on contract interpretation to key Mood employees
•Train internal clients about contract issues and language and negotiating techniques
•Respond to varied legal questions from human resources, music licensing, sales, operations and other teams
•Coordinate with Mood’s Risk Manager and support Mood’s risk management needs as needed
•Manage Business Affairs department staff as well as outside attorneys that may be retained on various projects
•Maintain current knowledge of applicable legislation and continually research legal issues impacting the Company and best practices
•Resolve disputes as they may arise
•Identify proactive solutions that will mitigate or eliminate risks
•Provide accurate and timely legal guidance to the executive staff on all matters that affect the company including commercial partnerships, vendor agreements, labor and employment law, and media rights

Position Type/Expected Hours of Work
This is a FLSA exempt full-time position. Occasional evening and weekend work may be required as job duties demand but generally duties occur during business hours.
Some travel may be required periodically to support the business
Required Education and Experience
Juris Doctorate from an accredited law school
Admitted and in good standing with North Carolina, South Carolina or Texas Bar
Minimum of 2 years’ experience in a corporate environment or law firm
Experience with providing legal advice through effective use of legal writing
Preferred Education and Experience
Experience with copyright licensing
Experience managing and supervising support staff in a corporation
Experience with cost-effective management of outside legal resources
Experience working on matters of corporate governance and with a board of directors
Familiarity and understanding of publically traded company practices and policies
