Members of the Crowe Horwath LLP legal department must demonstrate leadership in helping the firm manage business risks while working collaboratively with business leaders to find practical and creative solutions to problems. Among its many responsibilities are supporting compliance with professional and firm quality controls, drafting guidelines and standards, negotiating contracts with Crowe clients, resolving subpoenas directly with regulators and other outside parties, providing legal counsel to the firm, and performing acquisition due diligence, just to name a few.
Crowe is seeking in-house counsel for its Oak Brook or Chicago, Illinois office. Successful candidates will have aptitude for or experience with:
Counseling business leaders in a multitude of regulated industries, such as accounting, financial services, banking or similar lines of business;
Crafting policies and procedures to comply with US and international privacy and data protection laws and client information security requirements for protection of personally identifiable or protected health information and other confidential information;
Drafting and negotiating professional services and technology-related agreements, including master services agreements, engagement letters, confidentiality agreements, business associate agreements, software licenses, development agreements, maintenance and support agreements, as well as related statements of work; and
Developing a detailed understanding of the Crowe business requirements and their associated risks to the firm, using this understanding to manage those risks, then crafting creative legal solutions to problems facing both the firm and the firm’s clients;
This position will report to the General Counsel and have exposure to the company’s partners, management, and all functional areas. In addition to being a contributor on legal matters, counsel must manage firm risk and learn general firm practices in a wide variety of areas. A successful candidate will be a leader capable of developing and maintaining close working relationships with the firm’s other business leaders, while effectively responding directly to demanding external client requirements. Initiative is encouraged. The legal department manages a large volume of requests, and candidates will need a strong ability to fluidly manage work load with both client and firm business leader priorities. The position’s duties and responsibilities will expand as understanding of the business and ability to manage business risk is demonstrated.
Candidates must be well organized, team oriented, and able to meet deadlines, while possessing sound business judgment, discretion, flexibility, a willingness to learn, and superior writing and verbal communication skills.
The following proven experience is desired, but all are not required:
Resolving employment law issues
Reviewing state or federal government contract requirements and assessing compliance
Managing compliance with document retention policies and practices
Handling bankruptcy claims and preference action responses
Providing counsel on corporate governance
Assisting with M&A activity
Working in governmental, accounting, and/or financial regulatory sectors
Advising on a range of intellectual property matters as they relate to marketing, trade secrets, licensing, patents, and copyright
Working with SharePoint
Utilizing an enterprise contract management system
2+ years of experience in a law firm or in-house law department preferred, but will consider candidates with governmental experience in accounting/financial regulatory sectors
Admission to a state bar, in good standing. Candidates will be required to take and pass the Illinois bar, but Illinois admission is not a prerequisite
