Corporate Counsel - Real Estate & Commercial Transactions

PURPOSE:

This position will work closely with the General Counsel and Resources business teams in the negotiation and drafting of a full spectrum of commercial real estate (timberland and non-timberland) transaction documents, including without limitation, purchase, sale, 1031 exchange, leasing, easements, operational agreements, and other documentation.

The position will provide legal support on real estate, commercial leasing matters, and potentially environmental law. This position will oversee the company’s commercial leases (as lessor and lessee) and create a program to manage such for the enterprise. This position will also provide legal support on a variety of other commercial transactions, including vendor, customer, consulting, services, transportation, information technology, and other agreements.

The position will become an integrated team member with business teams, working directly with and advising business clients. Success in this role will require a lawyer who is a creative solution provider, one who facilitates and helps business team members accomplish their objectives while maintaining compliance and mitigating risk. The right candidate will take pride in acting with a sense of urgency, surprising clients with his/her responsiveness and timeliness.

KEY RESPONSIBILITIES:

• Collaborate with the General Counsel and Resources business teams in the negotiation and drafting of a full spectrum of commercial real estate (timberland and non-timberland) transaction documents, including without limitation, purchase, sale, 1031 exchange, leasing, easements, operational agreements, and other documentation
• Provide legal support on real estate, commercial leasing matters, and potentially environmental law
• Oversee the company’s commercial leases (as lessor and lessee) and create a program to manage such for the enterprise
• Provide legal support on a variety of other commercial transactions, including vendor, customer, consulting, services, transportation, information technology, and other agreements
• Become an integrated team member with business teams, working directly with and advising business clients
• Facilitate and assist business team members accomplish their objectives while maintaining compliance and mitigating risk

REQUIREMENTS:

• 5+ years of commercial real estate law experience in a law firm or a corporate legal department is required
• Must have an active license to practice law in at least one state and a member in good standing of the bar (preferably Oregon or willing to obtain OR licensure via reciprocity)
• Law degree and excellent academic credentials from an ABA-accredited school required
• Maintain the highest ethical standards in dealing with confidential information
• A strong work ethic and customer-service/problem solving mentality
• A relationship builder who can establish trust and credibility across the organization as well as with other key external constituents
• Highly collaborative and strategic; detail-oriented and hands-on approach to work and partnership
