IAA is looking for an Assistant Corporate Counsel to join our legal team focusing on general corporate matters. This is a generalist role, in which you will provide general corporate support to internal clients and our in-house counsel, including contract review and negotiation, corporate governance, corporate communications, and mergers and acquisition transactions assistance. The ideal candidate will have some experience: (a)in drafting and negotiating contracts; (b) provide general corporate secretary support, including board agenda and minutes drafting, ; (c) assist with diligence of potential corporate acquisitions; and (d) researching and writing memorandums and abstracting documents.

The ideal candidate must thrive in a fast-paced, high-volume environment. Candidate will be expected to build positive client relationships with diplomacy, sound independent judgment, patience, business acumen and provide insightful, timely counsel to a wide range of business partners on a broad range of legal matters.

Responsibilities

  • Provide general corporate support, including contract drafting and negotiation, mergers and acquisitions assistance, reviewing corporate and real estate contracts, document abstracting, and special assignments for company to meet its goals.
  • Assist Chief Legal Officer and Corporate Counsel in corporate governance matters, including drafting board policies, recording meeting minutes of the Board of Directors, and assisting with SEC and other required filings.
  • Providing assistance and legal advice where needed, including on matters involving labor and employment law, governmental affairs, litigation support and legal matter management involving the company’s international businesses.

Requirements

  • J.D. with excellent academic credentials, in-house experience a plus, and proven exceptional legal ability and emotional skills to meet client demands.
  • Admission to Illinois bar.
  • Minimum of one to three years of relevant law firm and/or in-house requisite experience.
  • Strong drafting and analytical skills.
  • Strong organizational skills.
  • Experience in reviewing and drafting commercial contracts.
  • Excellent negotiation, oral and written communication skills.
  • Excellent emotional, interpersonal and organizational skills.
  • Ability to manage multiple tasks and responsibilities simultaneously and provide time-sensitive responses.
  • Ability to assess risks, make sound and practical judgement calls and tailor legal advice based on the needs of the business.
  • Ability to successfully work independently as well as on teams including diverse set of personalities and skill levels.
  • Willingness to study IAA’s operations and business model.
  • Non-assuming with a strong collaborative work ethic.
  • Ability to manage tight deadlines and handle conflicts with diplomacy.
  • Flexibility and eagerness to take on new responsibilities.
  • Desire to work independently and cross-functionally in a fast-paced, high-volume, high-pressure environment.
  • A business-focused, creative problem solver who is open to new ideas and new approaches.
  • Proven track record of learning quickly, taking initiative, working proactively and being resourceful.
  • Willingness to travel at least 10-20%.
  • Ability to conduct legal research.
  • Experience in environmental or condemnation proceedings is a plus, but not required.
